There were originally 500,000 shares outstanding of which Noyce bought 245,000 shares, Moore 245,000 shares, and Rock 10,000 shares; all at $1 per share. Rock offered $2,500,000 of convertible debentures to a limited group of private investors (equivalent to $21 million in 2022), convertible at $5 per share. The most fateful decision came on the day of incorporation itself. In 1968, Robert Noyce and Gordon Moore co-founded Intel, after they and Grove left Fairchild Semiconductor. Grove joined on the day of its incorporation, although he was not a founder. Andrew Grove—né András István Gróf—had fled Hungary during the 1956 revolution at age twenty, arriving in America speaking barely any English. He'd worked his way through City College of New York while learning to read lips to compensate for his hearing impairment, graduated at the top of his class, earned a PhD at Berkeley in three years, and joined Fairchild as a researcher. When Moore told him about the new venture, Grove's response was immediate: "I'm coming with you!"
Fellow Hungarian émigré Leslie L. Vadász was Intel's fourth employee. Grove worked initially as the company's director of engineering, and helped get its early manufacturing operations started. Though technically employee number three, Grove would become the third leg of what journalists would later call the "Intel Trinity": Noyce the visionary and external face, Moore the technologist and thinker, and Grove the operations genius who would transform their ideas into reality.
The cultural DNA of Intel was deliberately engineered to be the anti-Fairchild. Where Fairchild had grown bloated and hierarchical, Intel would remain lean and flat. Where Fairchild's parent company had extracted profits without reinvestment, Intel would plow everything back into R&D. IV. The Memory Years: Early Products & Japanese Competition (1969–1985)
Less than a year after starting, Intel introduced its first product: the 3101 static random-access memory (SRAM). The 64-bit chip, released in April 1969, was priced at $99.50—or a whopping $1.56 per bit. It was part of Gordon Moore's "Goldilocks strategy": develop three technologies simultaneously—bipolar memory (too easy, would quickly draw competition), silicon gate MOS memory (just right), and multi-chip packaging (too difficult). The 3101 proved popular enough to sustain the company until the 1101, a metal oxide semiconductor (MOS) chip, was perfected and introduced later in 1969.
But the real breakthrough came in October 1970 with the 1103, Intel's one-kilobit dynamic RAM. By the end of 1971, the 1103 was the best-selling semiconductor device in the world. By 1972, 14 of the 18 mainframe computer makers in the United States, Europe and Japan relied on the 1103. The 1103 wasn't just another memory chip—it was the product that would finally replace magnetic core memory, the dominant computer memory technology since the 1950s. At one cent per bit, it made semiconductor memory economically viable for the first time.
Grove drove Intel's memory operations with characteristic intensity. He instituted clean room protocols that were revolutionary for the time, earning his nickname "Mr. Clean" by demanding spotless facilities. He created detailed metrics for every aspect of production—yield rates, defect densities, throughput times. Every Friday, he held "constructive confrontation" sessions where engineers had to defend their numbers, regardless of seniority. The culture was brutal but effective: Intel's manufacturing yields consistently exceeded competitors'.

They sold DRAMs below cost—what the Americans called "dumping"—to establish market dominance.
These products did not provide enough competitive advantage, thus the company lost its strategic position in the DRAM market over time. Intel declined from an 82.9% market share in 1974 to a paltry 1.3% share in 1984. The numbers were devastating. In 1980, Intel held roughly 30% of the global DRAM market. By 1984, that had collapsed to less than 2%. The company that had invented the DRAM business was being driven out of it.
Inside Intel, the memory division fought desperately to survive. They developed innovative designs—the 2116 with redundancy circuits, the 2164 with novel cell structures. Grove later recalled the psychological difficulty: Andy Grove himself is quoted as saying, "The fact is that we had become a non-factor in DRAMs, with 2-3% market share. The DRAM business just passed us by! Yet, many people were still holding to the 'self-evident truth' that Intel was a memory company. One of the toughest challenges is to make people see that these self-evident truths are no longer true."
The irony was excruciating. Intel had created the semiconductor memory market. The 1103 had been the chip that proved semiconductors could replace magnetic cores. DRAM revenues had funded Intel's growth, its fabs, its R&D. The company's identity was wrapped up in memory. V. The Accidental Microprocessor: 4004 to 8086 (1971–1978)
In April 1969, a Japanese calculator company named Busicom approached Intel with what seemed like a routine contract: design twelve custom chips for their new line of desktop calculators. Intel, less than a year old and desperate for revenue while its memory business ramped up, accepted. The project would accidentally produce the most important invention in computing history.
Ted Hoff, Intel's twelfth employee and head of applications, was assigned to evaluate Busicom's proposal. The Japanese design was complex—twelve different chips, each controlling a specific function. Hoff thought it was insane. Drawing on his Stanford background in general-purpose computing, he proposed something radically different: Hoff came up with a four–chip architectural proposal: a ROM chip for storing the programs, a dynamic RAM chip for storing data, a simple I/O device, and a 4-bit central processing unit (CPU). Instead of hard-wired logic for each function, why not create a programmable chip that could execute any function through software?
The idea was revolutionary but Intel had a problem: no one knew how to build it. For six months, the project stalled. Then in April 1970, Intel hired Federico Faggin from Fairchild. Faggin was a silicon gate expert who had created the first commercial MOS integrated circuit. Working at what colleagues described as a "furious pace," Faggin designed the three major chips in nine months. By March 1971, the 4004 was operational—a 4-bit processor with 2,300 transistors that could execute 60,000 operations per second.
But here's the remarkable part: Intel almost threw it away. The contract gave Busicom exclusive rights to the design. Intel management saw it as a one-off project for calculators, nothing more. Faggin and Hoff had to fight to convince management of its broader potential. When Busicom ran into financial trouble in May 1971, Intel seized the opportunity. In May 1971, Busicom agreed to this, on the condition that it not be used for any other calculator project and that Intel would repay their $60,000 development costs. Intel bought back the design and marketing rights to the chip from Busicom for $60,000.
Even then, Intel's marketing department resisted. "They were rather hostile to the idea," he recalled, for several reasons. First, they felt that all the chips Intel could make would go for several years to one company, so there was little point in marketing them to others. Second, they told Hoff, ''We have diode salesman out there struggling like crazy to sell memories, and you want them to sell computers? You're crazy." Sales estimated the market at 2,000 chips per year—total.
On November 15, 1971, Intel took out a two-page ad in Electronic News with a headline that would prove prophetic: "Announcing a new era of integrated electronics." The copy was understated, focusing on embedded control applications. No one imagined personal computers—the supporting technology didn't exist. As Hoff later explained, hard drives, printers, and displays were prohibitively expensive. The microprocessor was a solution looking for problems.
The 4004's success spawned rapid iteration. The 8008 came in 1972, designed for Computer Terminal Corporation's "intelligent terminal." The 8080 followed in 1974, becoming the heart of the Altair, the first personal computer kit. Each generation was more powerful, but Intel still saw them as sidelines to the memory business. As late as 1976, microprocessors generated less than 20% of Intel's revenue.
Intel's serendipitous and fortuitous entry into microprocessors happened when Busicom, a Japanese calculator company, contacted Intel for the development of a new chipset. Intel developed the microprocessor but the design was owned by Busicom. Legendary Intel employee Ted Hoff had the foresight to lobby top management to buy back the design for uses in non calculator devices. The accident was becoming less accidental, but Intel still needed a flagship product for the emerging 16-bit market.
Because the iAPX 432 was behind schedule, Intel decided in 1976 that they needed a simple, stop-gap processor to sell until the iAPX 432 was ready. Intel rapidly designed the 8086 as a 16-bit processor somewhat compatible with the 8-bit 8080. Stephen Morse, a software engineer, was given the task of designing the instruction set with minimal constraints: it had to be assembly-language compatible with the 8080 and address at least 128K of memory. In just 18 months, Intel had the 8086 ready for market.
Intel introduced the 8086 microprocessor in 1978. By any measure, it was a compromise design—inferior to Motorola's upcoming 68000 in almost every technical dimension. But Intel didn't just ship a chip. It created an entire ecosystem: development tools, support chips, documentation, training. This would prove more important than raw performance.
By 1979, however, the 8086 was in trouble. The principal attackers were Zilog and Motorola. Motorola's 68000 was technically superior—more registers, cleaner architecture, easier to program. Customers were defecting en masse. Intel's Atlantic Region manager fired off an eight-page telex to headquarters: "the message wasn't getting through to management on the West Coast."
What happened next would become Silicon Valley legend. Grove launched "Operation Crush"—a military-style campaign to save the 8086. The objective was audacious: 2,000 design wins in one year. The entire company mobilized. Instead of selling chips, Intel would sell solutions. As Davidow explained, "Intel had great customer service and support. We could assure a customer's success with our device. By comparison, choosing the Motorola path clearly presented a risk to the customer."
Operation Crush worked beyond anyone's dreams. Intel achieved over 2,500 design wins. But one stood above all others: In 1980, Earl Whetstone, then an Intel field sales engineer, caught wind of an opportunity in Florida. Philip Donald "Don" Estridge, an IBM engineer, had received IBM's permission to pursue outside vendors to supply the processors for a new product. The product was the IBM PC, and Estridge chose the 8088—a cheaper, 8-bit bus version of the 8086.
That single design win would change everything. The IBM PC's open architecture meant dozens of clone manufacturers would also use Intel processors. The x86 architecture, designed as a stopgap, would become the foundation of the personal computer revolution. The accidental microprocessor had found its destiny, and Intel's transformation from memory company to microprocessor giant could finally begin in earnest.
VI. The IBM PC Deal: Lightning Strikes (1980–1981)
The thunderbolt struck in Boca Raton, Florida, in 1980. In 1980, Earl Whetstone, then an Intel field sales engineer, caught wind of an opportunity in Florida. Philip Donald "Don" Estridge, an IBM engineer, had received IBM's permission to pursue outside vendors to supply the processors for a new product. What Estridge couldn't reveal was that IBM—the company that had defined business computing for three decades—was racing to build its first personal computer under a mandate from corporate headquarters: deliver in one year or abandon the project.
IBM's entry into personal computing was born of desperation. Apple, Commodore, and Tandy were selling hundreds of thousands of machines while IBM watched from the sidelines. William Lowe, director of IBM's Entry Systems Division lab in Boca Raton, had convinced corporate leadership that IBM needed to move fast or risk missing the PC revolution entirely. CEO Frank Cary gave him an ultimatum: build a competitive personal computer in twelve months using whatever methods necessary.
Estridge's team, codenamed "Project Chess," made decisions that violated every IBM tradition. Instead of designing custom chips, they would use off-the-shelf components. Instead of proprietary architecture, they would publish their specifications. Instead of IBM factories, they would source from outside vendors. The team had to choose between three processors: the Texas Instruments TMS9900, Motorola 68000, and Intel's 8086/8088. The 68000 was technically superior but not production-ready. The TMS9900 had addressing limitations. IBM chose the 8088 variant of the 16 bit 8086 because Intel offered a better price for the former and could provide more units, and the 8088's 8-bit bus reduced the cost of the rest of the computer.
The Intel sales pitch, delivered according to Operation Crush principles, wasn't about speeds and feeds. Earl Whetstone emphasized Intel's ecosystem: development tools, multi-generation support, on-time delivery guarantees, and a roadmap for future compatibility. When Whetstone, adhering to the tenets of Operation Crush, emphasized to Estridge not only the 8086 family's technical capabilities, but all of the ways that Intel would support IBM in implementing it — including the company's commitment to on-time delivery and its readiness to support its processors over multiple generations — Estridge knew he had found his supplier.
Dave House, Intel's general manager of microprocessor operations, later recalled the agony of keeping the secret: "It was proprietary information and we couldn't announce anything for four or five months… [So] we kept the Crush program going and toughed it out, all the time wanting to tell the world about the IBM win." Intel employees had deduced what IBM was building, but honored the confidentiality. The future of their company might depend on this one design win, but they couldn't tell anyone.
The operating system story added another layer of serendipity. IBM initially approached Digital Research for CP/M-86, but negotiations stalled. Bill Gates, already supplying BASIC to IBM, seized the opportunity. Microsoft didn't have an operating system, so Gates licensed 86-DOS from Seattle Computer Products for $75,000, then sold it to IBM as PC-DOS while retaining rights to market it as MS-DOS to other manufacturers. This single deal would eventually make Microsoft the most valuable company in the world.
Released on August 12, 1981, it was created by a team of engineers and designers at International Business Machines (IBM), directed by William C. Lowe and Philip Don Estridge in Boca Raton, Florida. Powered by an x86-architecture Intel 8088 processor, the machine was based on open architecture. The IBM Personal Computer Model 5150 was unveiled at New York's Waldorf-Astoria Hotel, priced at $1,565 for a base configuration with 16KB of RAM and no disk drives. With a monitor, two floppy drives, and a printer, the total approached $3,000—about $10,000 in today's dollars.
The technical specifications were modest: a 4.77 MHz Intel 8088, 16-256KB of RAM, optional 5.25" floppy drives, and five expansion slots. But the real revolution was in what IBM published alongside the computer: complete technical documentation. The IBM PC Technical Reference Manual included full schematics, BIOS source code, and detailed specifications. Anyone could build a compatible machine.
The IBM PC — technically known as the model 5150 — was not just a successful personal computer, it was the beginning of a new standard platform for personal computing that countless companies would adopt for their own PCs. Within months, Compaq reverse-engineered the BIOS and created the first IBM-compatible PC. Within a year, dozens of manufacturers were building clones. Within five years, "IBM compatible" had become the industry standard, with IBM's own market share dropping from 80% to 20%.
For Intel, the IBM PC was transformative beyond imagination. Every IBM PC and compatible required an Intel processor—or eventually, an Intel-compatible processor from AMD. The 8088 led to the 80286 in the IBM AT, the 386, the 486, and the Pentium dynasty. What had been a struggling also-ran in Operation Crush became the foundation of a computing monopoly. In 1982 Time magazine declared the IBM PC the "Machine of the Year" in lieu of declaring a Person of the Year.

But even Grove hadn't fully grasped the magnitude of what had happened. The conversation continued. Grove suggested: "Why don't we walk out the door, come back in, and do it ourselves?"
It was a profound psychological trick—imagining themselves as outsiders freed them from the emotional baggage of being Intel's founders and guardians of its legacy. The answer was obvious to any rational observer: Intel had no competitive advantage in memory, was losing money catastrophically, and had a growing, profitable microprocessor business. The decision should have been simple. But it wasn't.
Grove later wrote about the mechanics of getting out of that business were "very hard." It was a "year-and-a-half-long process of shutting down factories, letting people go, telling customers we are no longer in the business, and facing the employees who all grew up in the memory business, who all prided themselves on their skills, and those skills were no longer appropriate for the direction that we were going to take with microprocessors."
In order to regain leadership in DRAM, management was faced with a 100 million dollar capital investment decision for a 1 MEG product. Top management decided against the investment and thus eliminated the possibility of Intel remaining in the DRAM space. This wasn't just a financial decision—it was an existential one. The execution was brutal. We phased out of the dynamic random access memory (DRAM) business in 1985, and decided to sell our bubble memory business in 1986. Cyrix was producing cheaper alternatives. RISC processors from Sun, MIPS, and IBM threatened to make x86 obsolete. Intel needed more than technical superiority—it needed to change the rules of the game entirely.
The first challenge was architectural. RISC (Reduced Instruction Set Computing) processors were theoretically superior to Intel's CISC (Complex Instruction Set Computing) x86 architecture. RISC chips were simpler, faster, more elegant. Stanford's prestigious Hennessy and Patterson textbook practically declared CISC dead. Grove's paranoia drove relentless execution. He instituted "Copy Exactly!"—a manufacturing methodology where every Intel fab worldwide produced identical chips down to the molecular level. He created the "two-in-a-box" strategy, ensuring Intel always had two chip designs in development simultaneously. When the Pentium launched in 1993, teams were already deep into the Pentium Pro and planning the Pentium II.
From 1991 through 1996, Intel's revenues grew by 335.9 percent to $20.8 billion, with a profit margin of 24.7 percent. The manufacturing excellence was staggering. Intel's fabs cost $2-3 billion each but produced chips with yields approaching theoretical limits. XI. Modern Intel: Fighting on Multiple Fronts (2015–Present)
The story of Intel from 2015 to the present is one of mounting challenges on every front. Despite briefly reclaiming manufacturing leadership with its 14nm process in 2015-2016, Intel soon found itself outmaneuvered by competitors who had reimagined the semiconductor industry's fundamental assumptions.
The warning signs were everywhere. Intel's manufacturing setbacks have been one of the most significant factors in its recent struggles. The company faced prolonged delays transitioning from its 10nm to 7nm process nodes, a critical step in delivering more efficient and powerful processors. While Intel struggled with yields and delays, over the past five years, Intel has fallen behind both TSMC and Samsung in advanced chip manufacturing. Now, it sees an opportunity to reclaim leadership in the semiconductor industry.
The competitive landscape had fundamentally shifted. AMD achieved a record 33.9% revenue share in server-related chips in the third quarter of 2024. Under Lisa Su's leadership, in 2022, AMD surpassed Intel in both market value and annual revenue. The company that Intel had once dominated with a 95% market share advantage was now a genuine threat across every segment.
The AI revolution proved to be Intel's most catastrophic miss. In the past decade, it missed the emergence of chips designed for artificial intelligence. Intel rival Nvidia took a type of chip originally designed for the demands of video games, the graphics processing unit (or GPU), and turned it into the workhorse for training and running AI models. Now the generative-AI boom has made Nvidia one of the world's most valuable companies, worth more than $3 trillion, compared with Intel's relatively paltry $84 billion.
The roots of this failure traced back to a fundamental misunderstanding. Distracted while trying to fix these issues, Intel failed to see the extent to which graphics chips would come to dominate the market for AI. Instead, it thought AI would be run on systems that still had CPUs at their heart. "The strategy has been to fix the core business and don't worry about the ancillary stuff," says Alan Priestley, a Gartner vice president analyst. "GPUs were the ancillary stuff."
Even Intel's attempts to enter the GPU market came too late. The Larrabee project, which could have positioned Intel for the AI revolution, was cancelled in 2009. The Ponte Vecchio GPU, announced in 2019, arrived years behind schedule. The Gaudi AI accelerators, acquired through Habana Labs for $2 billion, have been criticized for missing the boat regarding the AI boom, while its Gaudi 3 accelerator has been described as difficult to use.
