Several factors define Golar's investment profile. First, the operating base is highly concentrated: two active FLNG units, a third currently undergoing conversion, and a fourth that management has discussed for two consecutive years without placing a binding order. Second, the company deliberately simplified its structure between 2021 and 2025, divesting non-core assets and dismantling its former shipping and downstream conglomerate model. Third, its long-term contracts embed commodity-linked upside options that management argues public markets systematically undervalue—a position frequently cited to justify share repurchases. Finally, after the chairman publicly stated that the board would act if the market failed to re-rate the stock, leadership responded by launching the formal strategic review.

II. The Origins: From Fredriksen's Fleet to LNG Shipping Pioneer (1990s–2013)
The name Golar derives from Gotaas-Larsen, a shipping corporation founded in 1946 that entered the LNG trade in 1970 by ordering a carrier named the Hilli.5 That single vessel—ordered before the 1973 oil crisis—would decades later be converted into the world's first floating liquefaction plant, serving as the foundational asset for Golar's long-term infrastructure strategy.
Ownership changed hands repeatedly, moving to the Barclay Brothers in 1988 and Singapore-listed Osprey Maritime in 1997.5 Between August 2000 and May 2001, John Fredriksen's World Shipholding Ltd. acquired Osprey and spun off its LNG shipping assets into a Bermuda-incorporated entity renamed Golar LNG.6 The company subsequently listed on Nasdaq in 2002.5
The Fredriksen Machine and Its Limits
During its first decade as a public company, Golar operated on the traditional shipping model championed by Fredriksen across entities such as Frontline in oil tankers and Seadrill in offshore drilling. The Man Who Wanted Out of Shipping
Tor Olav Trøim served as Fredriksen's chief financial strategist during this era. A naval architect by training, Trøim earned an MSc from the University of Trondheim in 1985, managed equity investments at Storebrand, served as chief executive of DNO from 1992 to 1995, and spent nearly two decades at Seatankers Management, including chief executive roles at Seadrill, Frontline, and Ship Finance International.4 He was instrumental in designing the financial structures behind the group's capital market strategy.
Trøim departed Seatankers in September 2014 and established Magni Partners that same year.4 Although his separation from Fredriksen ended their broader business partnership, Trøim maintained his focus on Golar. Having joined Golar's board in September 2011, he remained a director and subsequently became chairman in September 2017.4 Crucially, Golar was the entity through which he began pivoting away from pure spot shipping toward long-term gas infrastructure.
The Engineering Detour That Became the Company
That transition began with regasification. In 2008, Golar deployed the world's first converted floating storage and regasification unit (FSRU).5 The project involved retrofitting an existing LNG carrier with vaporization equipment to convert liquefied gas back into vapor for onshore grids, enabling importing nations to receive LNG without constructing costly onshore import terminals over multi-year periods.
The underlying logic was straightforward: an LNG carrier already functions as a mobile cryogenic storage vessel, equipped with insulated containment systems operating at minus 162 degrees Celsius, along with specialized pumping and safety infrastructure. Converting an existing carrier into an import terminal primarily required installing heat exchangers to re-warm liquid cargo into gas. Golar demonstrated that retrofitting existing hulls offered a far faster, lower-cost alternative to purpose-built onshore infrastructure.
The next step was to reverse the process: converting raw offshore natural gas into liquid directly on a floating vessel. Offshore liquefaction presented far greater engineering complexity than regasification. It required mounting heavy rotating machinery—including gas turbines and compressors—onto a moving hull, removing water, heavy hydrocarbons, and contaminants from raw wellhead gas at sea, and ensuring continuous operational reliability over decades in harsh marine environments.
However, the commercial rationale was compelling. Significant natural gas reserves off West Africa, South America, and Southeast Asia remained stranded, lacking the scale to justify traditional $10 billion to $20 billion onshore developments with dedicated ports, pipelines, and complex permitting schedules. Without export outlets, these resources remained unmonetized or were flared at the wellhead. A functional floating liquefaction technology promised to lower the minimum viable capital scale for LNG projects, opening previously inaccessible gas fields.
By 2013, Golar possessed a proven engineering concept from its FSRU operations, a fleet of suitable carriers for conversion, and board leadership committed to large-scale structural repositioning. The company's primary hurdles were securing an anchor customer willing to deploy unproven technology and maintaining a balance sheet strong enough to absorb execution risks.
III. The Strategic Pivot: Inventing Commercial FLNG & The Hilli Gamble (2014–2019)
In the first half of 2014, Golar proposed an unconventional engineering project in a Singapore shipyard conference room. A 1975-built Moss-type LNG carrier—equipped with spherical tanks and nearing the end of its economic life as a trading vessel—would be cut open amidships to install a topside liquefaction plant. Once converted, the vessel would be moored off the coast of Cameroon, expected to operate continuously for two decades without drydocking, under contract with a country that had no prior LNG export history and a customer far removed from traditional supermajor credit profiles.
Golar signed the conversion contract with Keppel Shipyard in July 2014, with Black & Veatch subcontracted to supply its licensed PRICO liquefaction technology and to handle the process design and topside procurement.7 The capital cost of the project came in around $1.2 billion.8
Why the Cost Number Was the Whole Argument
That $1.2 billion figure defined the commercial logic of the strategy, anchoring Golar's investment thesis on a capital-cost-per-tonne advantage.
Liquefaction plants are benchmarked by annual production capacity, measured in millions of tonnes per annum (MTPA). Conventional greenfield onshore developments in the 2010s routinely required over $1,000 in capital expenditure for each annual tonne of capacity—and far more in cost-overrun-plagued Australian projects—because developers had to build dedicated ports, power plants, roads, accommodation villages, and local infrastructure alongside complex permitting schedules and escalated labor markets.
A converted FLNG unit eliminated most of those overhead costs. The depreciated carrier hull already existed. Shipyard retrofits occurred in controlled industrial facilities with established workforces rather than remote greenfield locations. The vessel served as its own port, and its mobility allowed redeployment if a field depleted. Management claims conversion delivers a 30% to 40% capital cost discount relative to land-based plants for its Mark I and Mark II designs—an advantage leadership acknowledges narrows for its larger, newbuild-hull Mark III concept.4
Crucially, this pricing edge represents a structural cost advantage derived from asset selection rather than superior plant engineering. Golar's model relies on exploiting pre-existing hulls and established shipyard labor rates. That cost benefit remains durable only as long as suitable donor vessels and shipyard conversion slots can be secured at economic prices.
Cameroon: The Proof of Concept
The Hilli Episeyo entered commercial operation off Cameroon in June 2018, chartered to Perenco and the national oil company SNH under a liquefaction tolling agreement.9[^11] Black & Veatch confirmed the plant passed its guaranteed performance test in August 2018.[^11]
The unit's subsequent performance became the foundational operational evidence for Golar's investment case. From startup in 2018 through the first quarter of 2026, the unit maintained 100% economic uptime.1 It offloaded its 150th cargo in April 2026 and its 152nd the following month, and passed ten million cumulative tonnes of LNG produced in December 2025.110
For a pioneer floating asset, that operational record was notably clean. First-of-a-kind process plants often experience prolonged commissioning friction, including unplanned outages, design modifications, and equipment failures. The Hilli Episeyo avoided those systemic interruptions. For national oil companies and international majors assessing whether to entrust national gas reserves to a floating vessel, long-term operational continuity remains the primary criterion. Golar built a track record as the sole operator with eight years of continuous commercial performance data.
That record, however, carries a technical nuance. Contractual economic uptime measures whether Golar fulfilled its tolling agreement to receive full daily charter rates, which does not guarantee that every liquefaction train ran at full physical capacity every hour. Nevertheless, it demonstrated commercial reliability under strict contract terms.
The Bill for Being First
Achieving that proof of concept created prolonged financial strain. During the late 2010s, Golar concurrently funded FLNG construction, managed a spot shipping fleet, and invested in downstream gas-to-power ventures in Brazil. Each business required substantial capital, yet none generated sufficient scale to support the others. Trøim later noted to shareholders that the company had executed multi-billion-dollar projects "with a pretty tiny balance sheet," putting its financial position under severe strain.10
Capital markets priced in that structural risk. Investors confronted a small-cap entity managing an unproven asset class, high debt levels, complex corporate affiliates, and counterparties operating in frontier jurisdictions. While the Hilli Episeyo succeeded as an engineering project, the corporate holding structure eroded public market valuation.
The realization that floating liquefaction assets commanded a higher valuation within a focused corporate structure prompted the strategic repositioning that followed.
IV. Corporate Restructuring & Capital Deployment: The Great Simplification (2020–2022)
In early 2021, capital flooded into energy-transition infrastructure. Natural gas in emerging markets—promoted as a bridge fuel to replace coal and diesel—became a highly sought-after asset category. New Fortress Energy, a U.S.-listed gas-to-power developer with high-valued equity, sought downstream assets to expand its footprint, matching Golar's divestment goals.
Selling the Downstream at the Top
On January 13, 2021, New Fortress Energy announced agreements to acquire both Hygo Energy Transition—Golar's downstream gas-to-power joint venture with Stonepeak—and Golar LNG Partners LP (GMLP), the master limited partnership holding Golar's dropdown fleet of floating storage and regasification units (FSRUs) and carriers, in a combined transaction valued at approximately $5 billion.11 The GMLP transaction alone represented an enterprise value of roughly $1.9 billion against $251 million in equity value, paying unitholders $3.55 per unit in cash—a ratio illustrating the heavy debt burden within the partnership.11 The GMLP acquisition closed on April 15, 2021.11
The transaction reshaped Golar in three ways. First, the influx of cash and stock significantly reduced Golar's consolidated debt. Second, it eliminated the master limited partnership structure. Golar LNG Partners had launched in 2011 as the world's first pure-play LNG master limited partnership, designed to sell contracted assets into a yield-seeking retail market.5 By 2020, that retail market had deteriorated, turning the partnership into a source of structural complexity, conflicting corporate incentives, and balance-sheet debt rather than a capital advantage. Third, the sale allowed management to shed operational oversight of downstream Latin American utility assets, redirecting executive focus to core upstream liquefaction activities.
The divestment benefited from favorable market timing, allowing Golar to sell downstream assets during a peak in energy-transition valuations using the buyer's equity currency. The key strategic decision following the sale was management's refusal to reinvest those proceeds back into non-core downstream infrastructure.
Cutting Loose the Ships
Eleven months later, on December 15, 2021, Golar agreed to separate its eight modern tri-fuel diesel-electric LNG carriers into a standalone entity, Cool Company Ltd., backed by a cornerstone equity investment from Eastern Pacific Shipping.[^14] A $275 million private placement closed on January 27, 2022, establishing an initial equity valuation for CoolCo of roughly $400 million, with Eastern Pacific holding 38%, Golar retaining 31%, and public investors holding the remaining 31%; CoolCo listed on Euronext Growth Oslo shortly thereafter.[^15]
Rather than selling the carriers outright during a cyclical low, Golar created a separately capitalized entity, secured an operational shipping partner, and retained a minority equity position for gradual monetization. This structure removed vessel debt and operating liabilities from Golar's balance sheet while preserving exposure to charter-rate cycles and transferring technical management to a specialized shipping operator.
The final portfolio divestments took several years to conclude. Golar exited LNG shipping entirely in 2025 by selling the Golar Arctic and its equity stake in Avenir LNG, subsequently winding down its final FSRU operations-and-maintenance agreement on the Italis LNG in April 2026.110 On Golar's first-quarter 2026 earnings call, Chief Executive Karl Fredrik Staubo noted that while some legacy contracts remained modestly profitable, they absorbed disproportionate executive management time, prompting their termination.10 Additionally, in March 2026, Golar sold its 2.69% stake in Italy's OLT Offshore LNG Toscana to SNAM for $3.1 million—an asset fully written off in 2019.1

V. Current Management, Ownership & Capital Allocation Architecture
Most corporate chairmen use the closing remarks of an earnings call to offer routine thanks to staff. On the fourth-quarter 2025 call in February 2026, Tor Olav Trøim took a different path. He informed shareholders that he believed public markets systematically undervalued the company, disclosed that the board had previously rejected unsolicited takeover offers, announced that leadership was seeking external advice on alternative ways to enhance shareholder value, and reminded listeners that he had promised to pursue strategic actions if the stock failed to re-rate within a year.10 On March 25, 2026, Golar formally announced a strategic review and retained Goldman Sachs International as financial advisor.[^5]
Trøim: The Chairman as Principal
Trøim's career path—a Trondheim naval architecture degree, asset management at Storebrand, leadership at DNO, two decades crafting corporate structures within the Fredriksen group, and founding Magni Partners in 2014—reflects a long record of constructing financial frameworks around heavy industrial assets.4 Alongside his role at Golar, he serves on the boards of Borr Drilling and Stolt-Nielsen.4
His stated valuation framework for Golar comprises three elements: long-term contracted charters, commodity options embedded in the Argentine contracts, and the intrinsic value of the floating liquefaction franchise itself. Trøim argued that public markets price contracted cash flows reasonably well, disregard commodity upside options, and fail to value the operational franchise. As evidence of that unpriced franchise value, he noted that a major international oil company had approached Golar about serving as its exclusive FLNG operating arm—an approach the board declined as offering insufficient returns relative to alternative opportunities.10
Investors should treat such framing with healthy analytical distance. Assertions of market misunderstanding are common in corporate disclosures and difficult to test in the short term, frequently serving to justify share repurchases. However, Trøim established a explicit public timeframe, waited twelve months, and then initiated a formal process evaluating strategic alternatives for the company.
Golar's annual report on Form 20-F lists only two beneficial owners above the 5% disclosure threshold: Naria Inc., an investment affiliate of Perenco, holding 10.12%, and Rubric Capital Management, holding 8.83%, against 101,589,268 shares outstanding as of March 16, 2026.4 Trøim's personal holding sits below that 5% reporting line and is not separately quantified in public filings.
The Customer Who Became the Largest Shareholder
Perenco's ownership stake creates an unusual dynamic that cuts both ways. In June 2024, Perenco affiliate Naria acquired a 9.9% equity stake in Golar for approximately $250 million while Perenco was serving as the anchor charterer for the Hilli in Cameroon.12 In May 2025, Benoît de la Fouchardière, who served as Perenco's chief executive from 2016 through March 2024, was appointed to Golar's board of directors.4
From an operational standpoint, an anchor customer purchasing a major equity position after years of direct contract performance provides a strong validation signal. From a corporate governance perspective, having the largest shareholder act simultaneously as a primary customer and commercial counterparty—with its former chief executive sitting on the board—introduces clear conflict-of-interest risks. Furthermore, Bermuda corporate law places no explicit statutory restrictions on related-party transactions beyond a director's general duty to disclose a material interest.4
The Operators
Karl Fredrik Staubo was appointed chief executive in May 2021 at thirty-four, having served as Golar's chief financial officer since September 2020 and previously as chief executive of Golar LNG Partners. His background centers on capital markets rather than marine engineering, including a decade leading shipping investment banking at Clarksons Platou Securities followed by advisory work at Magni Partners.4 Chief financial officer Eduardo Maranhão, appointed the same month, previously served as CFO of Hygo Energy Transition and led an energy business in Brazil after holding roles at Santander, Crédit Agricole, and Citibank.4
This executive composition reflects a clear organizational design. Golar's top leadership consists of structured-finance specialists rather than plant engineers. Technical execution sits immediately below the executive suite under Chief Operating Officer Ragnar Nes—a former Norwegian Navy submarine electrician who managed floating production assets at Fred Olsen, Yinson, and BW Offshore—and Chief Technical Officer Morten Skjong, who directed the Mark II conversion project.4 For an enterprise whose business model centers on commercializing long-lived infrastructure assets under multi-year contracts, aligning executive leadership around capital structuring is logical.
The Capital Allocation Framework, and Its Tension
Management's capital allocation model rests on three pillars: maintaining balance sheet flexibility, funding accretive FLNG expansion, and returning capital to shareholders.1 During 2025, Golar returned approximately $250 million to shareholders—$103 million via dividends and roughly $144 million through share buybacks that retired 3.6 million shares—while deploying over $750 million in capital expenditure toward FLNG project construction.10 In the fourth quarter of 2025 alone, the company repurchased 1.1 million shares at an average price of $37.76 under a $150 million authorization, leaving $109 million remaining under the program.10

VI. The Core FLNG Business: Economics, Industry Structure, & Competition
At its core, Golar LNG operates a fee-for-service infrastructure model. The company does not sell natural gas, take volume risk on upstream production, or hold equity in gas reservoirs. Instead, it charters floating liquefaction assets to field operators under long-term agreements, typically spanning twenty years, while transferring the majority of operational and commodity risks to the charterer.
The Revenue Architecture
Golar's contracts follow a structured framework detailed in its disclosures: payments are denominated in U.S. dollars, remitted offshore net of local taxes, and governed by English law regardless of where the vessel is deployed, with operating expenses and maintenance capital either reimbursed or absorbed directly by the customer.4 The agreement for the Gimi with BP is structured as a pure tolling contract with availability-based payments—shielding Golar from volume risk and limiting utilization exposure—while incorporating termination protections tied to the lessee's credit support amount.4
This contractual architecture systematically isolates cash flows from underlying operational and sovereign risks. Provisions covering currency, taxation, jurisdiction, cost inflation, and reservoir depletion ensure that revenue generation depends primarily on asset availability—the single operational variable Golar actively manages.
Layered above this fixed revenue base is an asymmetric commodity sharing mechanism. Under its Argentine contracts, Golar receives 25% of realized free-on-board (FOB) LNG prices above a baseline of $8 per MMBtu, uncapped.4 Conversely, charter rates can be reduced if prices fall below $7.50, down to a floor of $6 per MMBtu—though total downside exposure is capped ($88 million across the Hilli contract and $122 million for the Mark II unit) and is recoverable through future upside sharing if prices rebound.4 Golar absorbs no further downside below that threshold, and both reference baselines escalate annually starting in year six.4
This structure provides downside protection while retaining substantial exposure to gas price appreciation. Including its 10% equity stake in Southern Energy S.A. Floating regasification providers—such as Excelerate Energy and Höegh LNG—operate the reverse process, converting LNG back into natural gas for import markets. While regasification represents a mature market with numerous active assets, it involves simpler topside technology and distinct commercial contracts. Golar fully exited this segment by 2026.
Owner-operated FLNG units are utilized by integrated energy majors and state-owned entities, including Eni offshore Mozambique and Congo, and Petronas offshore Malaysia. These producers deploy floating liquefaction to commercialize their own gas reserves rather than offering third-party chartering services. Furthermore, as Trøim noted, at least one international major approached Golar to discuss outsourcing its floating liquefaction operations rather than developing internal capabilities.10
Downstream gas-to-power operators, such as New Fortress Energy, focus on fuel supply and power generation rather than upstream liquefaction infrastructure.
Land-based liquefaction terminals—operated by entities such as Cheniere, Venture Global, and QatarEnergy—represent Golar's primary competition, competing on capital cost per annual tonne and project delivery timelines. Management estimates an execution schedule of 36 to 40 months from contract award to delivery for a Mark I or Mark II conversion, offering a significant time-to-market advantage over multi-year onshore greenfield developments.10

As floating liquefaction matures, well-capitalized competitors could replicate Golar's operating model, making long-term contract execution and pipeline expansion critical to maintaining its market position.
VII. Growth Drivers, Future Pipelines, & Speculative Optionality
The Greater Tortue Ahmeyim field straddles the maritime boundary between Mauritania and Senegal — two countries that had never exported LNG, developing a resource neither could monetise alone. BP's solution was a hub-and-spoke design in which a floating liquefaction vessel sits at the end of the chain. Golar's Gimi is that vessel.
Gimi: The Contract That Nearly Went Wrong
The commercial history here is instructive precisely because it did not go smoothly. The twenty-year lease and operate agreement was signed in 2019. Then COVID delayed the yard. Then the project timeline slipped. Then the parties fell into a dispute over the payment mechanism covering the period before commercial operations — the window in which Golar had a finished asset and BP was not yet taking gas — and the disagreement went to arbitration.
On 5 August 2024, Golar and the GTA operator executed what both sides called a commercial reset: it settled the existing disputes including the arbitration, entitled Golar to daily payments retroactive to 10 January 2024, added step-up mechanisms tied to project milestones, secured them with long-stop dates, and layered in lump-sum bonus payments for milestone achievement.13
Two readings of that outcome are available. The charitable one is that Golar converted a contractual impasse into cash and milestone incentives without destroying a twenty-year relationship — evidence of commercial competence under stress. The sceptical one is that Golar accepted a renegotiation because its counterparty was BP, which had more time, more lawyers and more leverage than a company with one asset in the water. Both are probably true. The relevant investor question is what it reveals about bargaining power: when a supermajor decides to renegotiate mid-project, a single-asset lessor's practical options are limited, and that will remain true for every future contract.
Commercial operations were achieved in June 2025, starting the twenty-year term and unlocking approximately $4.3 billion of adjusted EBITDA on a 100% basis, of which Golar's 70% share is roughly $3.0 billion.4 At contracted volumes that translates to about $150 million a year to Golar, before over-production payments.10 The Gimi's contracted base of 2.4 MTPA is set at 90% of nameplate capacity — meaning the unit is contractually expected to run above the level Golar is paid for, and any excess flows through pro rata monthly.14
The open question is expansion. Asked repeatedly about debottlenecking and a possible second phase, Staubo deferred to the upstream partners, noting BP had said it wanted twelve to eighteen months of well data before deciding.10 That is the correct answer and also an uncomfortable one: the expansion decision, and the incremental value it would create, belongs to someone else.
Argentina: The Bet That Defines the Next Decade
Vaca Muerta, in Argentina's Neuquén Basin, is the world's second-largest shale gas formation.4 It has abundant, cheap gas and essentially no way to export it. That is Golar's exact problem statement, at national scale.
Golar's counterparty is Southern Energy S.A., a consortium formed specifically to enable Argentine LNG exports, owned by Pan American Energy (30%), YPF (25%), Pampa EnergĂa (20%), Harbour Energy (15%) and Golar itself (10%).1 Golar's minority equity stake matters: it converts the company from pure service provider into a project partner with direct commodity exposure — and, less comfortably, into a party that has to fund capital calls in a country with a long history of currency controls and abrupt policy reversals.
The Hilli's bareboat charter with SESA was signed on 4 July 2024 and subsequently amended through at least five addenda between September 2024 and February 2025 — a paper trail that suggests the commercial terms took considerable work to finalise.4 The economics: $285 million a year of adjusted EBITDA to Golar, approximately $5.7 billion of backlog, commercial operations expected in the second half of 2027, running to 2047, plus roughly $30 million of annual upside per dollar of FOB price above $8.14
The Mark II — a 3.5 MTPA conversion under construction at CIMC Raffles under an EPC agreement signed on 17 September 2024 — carries a $2.2 billion budget, of which $1.2 billion had been spent by the end of the first quarter of 2026, entirely funded with equity.14 All conditions precedent for its twenty-year SESA contract were satisfied in October 2025.4 It delivers in the fourth quarter of 2027 for start-up in the second half of 2028, at $400 million a year and roughly $8 billion of backlog, with about $40 million of annual upside per dollar above the reference price.1
The physical enabler is a pipeline. The Hilli will initially draw gas from the existing San MartĂn system, but year-round operation of both units requires a dedicated line of roughly 500 kilometres from Vaca Muerta to the Gulf of San MatĂas.14 Golar took a 10% equity interest in San MatĂas Pipeline S.A. in the first quarter of 2026, expecting to invest around $77 million in total, pro rata with its SESA holding.110 Line pipe and turbo-compressors were awarded in December 2025, with EPC proposals received and awarded through the first half of 2026.110 Management noted the route runs alongside an oil pipeline started in December 2024, so rights of way and regulatory approvals were already in place.10
Offtake is progressing too. Building on a December 2025 heads of agreement, SESA finalised an eight-year deal in March 2026 to sell up to 2 MTPA to German state-owned SEFE — one million tonnes Brent-linked, one million Henry Hub-linked — with deliveries from 2027.110 SEFE has been the offtaker from the Hilli in Cameroon since 2022, so the relationship carries over.1 That leaves roughly four million tonnes to place, of which management intends to reserve around one million for spot sales, eyeing Brazil — which Staubo noted had recently awarded a large tranche of power purchase agreements, mostly gas-fired — as a natural short-haul market.10
The strategic insight worth extracting: Golar is not merely chartering a vessel to Argentina, it is helping assemble an entire export value chain — pipeline equity, project equity, offtake structuring — in a country that has never exported LNG. That vertical involvement is what makes the project possible and simultaneously multiplies the ways it can go wrong.
The Fourth Unit: A Promise Made Twice
Golar has now told investors for two consecutive years that a fourth FLNG order is imminent. In the fourth quarter of 2025 the language was that it would order "when commercial terms for long-term deployment have matured."10 By the first quarter of 2026 it hardened: target to order within 2026, with key long-lead items reserved in May 2026, donor vessels under inspection, and shipyard pricing and delivery terms being confirmed.110 Management's commercial guidance is fifteen-to-twenty-year contracts at a capital-cost-to-EBITDA multiple of five to six times, with target regions in West Africa, the Middle East and South America.10
The catalyst management cites is geopolitical. On the Q1 2026 call Staubo pointed to damage at Qatar's Ras Laffan facility following escalation in the Middle East — which he said Qatargas itself had indicated would remove at least seven million tonnes of capacity for three to five years — and to potential delays to the North Field East expansion.110 The company's own filing states these events "could have a material impact on the global LNG supply/demand balance into 2028."1 Staubo's commercial read was that the negotiating dynamic had shifted from price to delivery slot: "instead of having sort of a price war with the counterpart, it's who gets the first delivery."10
An independent investor should register both the logic and the pattern. The logic is sound — a supply shock raises the value of the earliest available capacity, and Golar credibly offers that. The pattern is that the fourth unit has been "close" through two annual cycles, and reserving long-lead items is not the same as an order. This is the single cleanest test of management's execution credibility available in the next few quarters.
Optionality, Honestly Sized
Two items belong here in proportion. Macaw Energies is Golar's small-scale venture capturing flare gas for land-based micro-liquefaction; it launched a first unit at a Texas flare site in 2024.14 Its financial materiality is captured in a single line of the annual report: outstanding committed funding of $1.0 million.4 It is a research option, not a business.
The Mark III is more consequential but further out — a newbuild-hull design of up to 5.4 MTPA aimed at larger fields, requiring roughly four years from investment decision to commissioning and, on management's own account, offering meaningfully less capital-cost advantage over land-based alternatives than the conversions do.410 It is the design that would take Golar into direct competition with onshore developers, and the one where its structural edge is thinnest.

Management's prepared script has remained consistent across quarters: a $17 billion contracted backlog, three FLNG units on 20-year contracts, more than $800 million in annual run-rate EBITDA once fully delivered, net leverage falling toward roughly 3.4 times, and a free-cash-flow path framed at approximately $500 million annually—or about $5 per share—against a dividend run-rate near $1 per share.110
This consistency reflects a stable core thesis. However, it also means the opening remarks function primarily as a reiteration of long-term targets, leaving the most valuable operational insights in the exchange with analysts.

The Q&A pattern shows analysts probing schedule and cost risks, receiving detailed operational responses on engineering matters while encountering clear boundaries on corporate strategy.
On the redeployment of the Hilli, Chris Robertson of Deutsche Bank questioned whether the cost scope had narrowed. Chief Executive Karl Fredrik Staubo provided a detailed breakdown: the $350 million budget encompasses unmooring in Cameroon, towage and bunkering to Singapore, shipyard modifications, the return transit, connection, commissioning, operating expenses, crew training, and spare parts—rather than just shipyard labor—and includes contingency funds management aims to preserve.10 The company's first-quarter 2026 financial report subsequently disclosed $50 million spent against this budget through March 31, 2026.1
Responding to Liam Burke of B. Riley regarding physical adaptations required to move a vessel from West Africa to the South Atlantic, Staubo highlighted two key engineering adjustments: significant modifications to the mooring and anchoring systems to handle the harsher marine environment in Argentina, and targeted winterization to manage sub-zero temperatures not encountered in Cameroon.10
Regarding commissioning, Alexander Bidwell of Webber Research highlighted an operational detail: Golar plans to arrive in Argentina "cold"—transporting LNG in its containment tanks—allowing commissioning to begin before the onshore pipeline connection is fully operational, repeating a process used on prior deployments.10 Management expects commissioning to take three to four months for the Hilli and up to six months for the newly converted Mark II unit.10
On the strategic review, management set explicit limits. Asked directly by John Mackay of Goldman Sachs whether a company sale was under consideration, Chairman Tor Olav Trøim declined to elaborate, stating that strategic evaluations must remain confidential to the board.10 By the first-quarter 2026 call, leadership stated it would offer no further commentary on the process until the review concludes.110

Renegotiated: Payment terms covering the Gimi's pre-commissioning window were resolved via a negotiated commercial settlement following arbitration. The remaining question is whether the operational advantages Golar holds present a durable foundation for long-term growth.

Stripping Golar to its commercial core raises a fundamental question: what prevents competitors from replicating its business model? A floating liquefaction developer can hire shipyards, license liquefaction technology from third parties like Black & Veatch, and acquire donor hulls on the second-hand market. On paper, the approach appears readily copyable. Yet in the eight years since the Hilli Episeyo began operations, no competitor has successfully deployed a comparable converted floating unit.
Seven Powers, Applied Strictly
Process Power represents Golar's most defensible competitive moat. Under Hamilton Helmer's framework, process power requires an embedded organizational capability developed through extended practice that competitors cannot easily copy, even if the underlying mechanics are transparent. Golar's advantage rests on the accumulated engineering and operational expertise required to convert Moss-type carriers into floating liquefaction plants and operate them continuously offshore for years—knowledge distributed across project teams, marine crews, and shipyard partners. This capability is evidenced by Golar's uptime record across diverse operating environments and Chief Executive Karl Fredrik Staubo's unchallenged assertion that no competitor has completed a floating liquefaction vessel conversion.10 However, process power naturally erodes as converted floating liquefaction becomes more widely understood, as each successful deployment also serves as a public proof of concept.
Cornered Resource claims are weaker than marketing disclosures suggest and warrant markdown. Golar licenses its core liquefaction technology—Black & Veatch's PRICO process—rather than owning proprietary rights.7[^11] Similarly, conversion shipyards are independent third parties. Golar's tangible assets consist of specific donor hulls, secured conversion slots, and established customer relationships—a position accurately described as owning scarce physical assets rather than possessing a cornered resource.
Scale Economies operate primarily at the project level rather than across the corporate entity. Golar's cost edge stems from its conversion methodology rather than corporate scale, given its status as a mid-cap company. This dynamic is more precisely categorized as Counter-Positioning: Golar's core business model of retrofitting donor hulls for third-party charter is difficult for integrated energy majors to adopt without cannibalizing their own onshore project pipelines and internal engineering organizations. That structural friction explains why an international supermajor approached Golar to serve as its operating arm rather than developing internal capabilities.10
Switching Costs become formidable only after an FLNG unit is installed. Once a customer moors a unit, lays connecting pipelines, and commits to long-term offtake agreements, switching providers mid-contract becomes economically prohibitive. Before contract execution, however, switching costs are negligible. The moat protects the existing fleet rather than the prospective growth pipeline.
Network economies and branding are absent, while true cornered resources remain limited.

While that addressable market is substantial, it remains a specialized niche by design.
Rivalry: low today, uncertain tomorrow. Golar currently operates without direct peers offering conversion-based FLNG-as-a-service, but assuming this lack of direct competition will persist across a twenty-year horizon would be unwise.
The Activist Stress Test
A rigorous audit of Golar's equity case highlights six central vulnerabilities:
Asset and counterparty concentration. The company relies on three primary floating assets, two main customer groups, and two host regions. Strategic review risks. Formalizing a strategic review that explicitly includes a potential corporate sale signals a board willing to test market value, but it also creates an operational ceiling and limits public commentary during evaluations.[^5] Should the review conclude without a transaction, the equity would remain dependent on existing operations while confirming a lack of acceptable strategic acquirers.
Re-contracting assumptions. The Risks That Actually Bite
Redeployment execution is the immediate risk. Between its July 2026 departure from Cameroon and its scheduled late-2027 startup in Argentina, the Hilli generates no charter revenue. During this off-hire period, the vessel must be disconnected, towed halfway across the globe, upgraded and life-extended at Singapore's Seatrium yard, towed to Argentina, moored, and commissioned—all within a $350 million total budget.1 Each month of delay represents roughly $24 million in deferred annual charter revenue alongside ongoing holding costs. Golar's annual report flags this operational exposure directly, warning that delays or complications during decommissioning, transit, or export setup could trigger cost overruns, penalties, or contractual claims.4
Argentine infrastructure and sovereign risk represent the medium-term challenge. Golar's long-term Argentine cash flows depend on natural gas reaching the Gulf of San MatĂas via a 500-kilometer pipeline constructed by San MatĂas Pipeline S.A., in which Golar holds a 10% equity stake. However, project debt financing from a bank syndicate remained under discussion as of the first quarter of 2026.1 While Golar controls vessel operations, pipeline completion rests with third parties. Additionally, operating in Argentina introduces sovereign exposure to a host country with a history of shifting foreign-exchange controls and export regulations. Supply-chain inflation threatens future project returns. Increased demand for industrial gas turbines from artificial intelligence data centers has intensified competition for long-lead equipment, squeezing projected returns on prospective fourth and fifth FLNG units rather than affecting the operational fleet.10
The Three Numbers That Matter
Ultimately, three key operational metrics dictate whether Golar's business model delivers on its commercial promises:
1. FLNG operational uptime and production relative to contracted volumes. Uptime performance remains the foundation of Golar's commercial reputation. The Hilli's 100% economic uptime in Cameroon and the Gimi's initial over-production represent the primary evidence supporting management's claim as the "only proven provider."1 A prolonged operational outage would disrupt near-term earnings while undermining customer confidence in future vessel deployments. Assessing the Gimi's true performance requires evaluating invoiced day rates against baseline contract rates over a full twelve-month cycle, as management noted that colder winter temperatures temporarily flatters the cold months.1
2. Contracted adjusted EBITDA backlog conversion into cash flow. Golar's headline $17 billion backlog represents an undiscounted, twenty-year nominal calculation that will remain largely static unless a fourth unit is ordered.4 For investors, the critical metric is the conversion rate of that backlog into realized cash flow. As Chairman Tor Olav Trøim observed, equity re-ratings occur when contracted cash flows materialize rather than when charters are signed, citing Cheniere as precedent.10 Expanding adjusted EBITDA from $265 million in 2025 toward management's target run-rate of more than $800 million serves as the principal test of whether the investment thesis is playing out or not.10

Consider the image that opened this story: a converted 1975-built hull unmoored off Cameroon, ending a nation's brief stint as an LNG exporter and beginning a transit to a Singapore shipyard, before heading to Argentine Patagonia where a shale basin has waited years for an export outlet. That single vessel movement embodies the company's entire investment case—its promise as well as its fragility.
The Bull Case
The bull case rests on four pillars, ordered by their strength of empirical evidence.
The best-supported pillar is operational: two units operating over eight years with no unplanned downtime, both producing at or above contract specifications.1 In an industry where new process plants routinely face delays and outages, that operational record provides concrete proof of capability.
The second pillar is contractual: approximately $17 billion in 20-year backlog, dollar-denominated under English law, with operating expenses passed through to charterers and the Gimi structured to shield Golar from volume risk.4 That degree of cash-flow visibility is rare among mid-cap energy equities.
The third is an impending earnings step-change: adjusted EBITDA of $265 million in 2025 is projected to reach an annual run-rate above $800 million once all three units are operational—a more than threefold increase underpinned by signed long-term charters rather than speculative new business.10 Management projects this run-rate will generate roughly $500 million in annual free cash flow—about $5 per share—compared to its current dividend payout of approximately $1 per share.10
The fourth and most speculative pillar is commodity upside: approximately $100 million in potential annual earnings for every dollar the gas price exceeds $8 per MMBtu, uncapped, across two Argentine contracts and a project equity stake.1 While valuable, this upside remains a volatile commodity option and should be priced as such.
Underpinning these pillars is a broader structural demand trend: as global LNG supply concentrates in the United States and Qatar—rising from roughly 42% toward 53% of global output—importing buyers have strong incentives to diversify supply sources, leaving Golar as the sole commercial operator offering floating liquefaction to monetize stranded gas fields.10 Recent operational disruptions at Qatar's Ras Laffan facility underscored that diversification argument.1
The Bear Case
The bear case does not dispute those underlying facts; rather, it highlights that operational and sovereign risks are far more concentrated than the headline $17 billion backlog suggests.
First, earnings concentration remains severe across just three primary assets. A single catastrophic equipment failure, prolonged technical outage, or mooring complication during South Atlantic winter conditions would eliminate a substantial portion of contracted revenue, with no broader fleet to absorb the blow.
Second, the near-term cash-flow window is tight. Following its July 2026 departure from Cameroon, the Hilli generates no charter revenue until its scheduled late-2027 startup in Argentina. During this off-hire window, capital commitments exceeding $1.5 billion fall due, funded through a combination of credit facilities and unsecured bonds bearing a 7.50% coupon.410 Although liquidity planning is coherent and supported by a newly secured credit facility, the financial buffer leaves little room for schedule delays.[^19]
Third, counterparty risk remains a constraint. The commercial dispute at Greater Tortue Ahmeyim showed that even energy supermajors will renegotiate contract terms mid-project, revealing the limited practical leverage held by a single-vessel lessor.13 Deploying assets in Argentina introduces sovereign policy and foreign-exchange risks that contractual English-law provisions cannot completely eliminate.
Fourth, fleet expansion has lagged stated targets. While management has expressed ambitions to add at least one floating liquefaction unit annually, the actual record shows two consecutive years of discussing an imminent fourth unit without placing a binding order.10
Fifth, Golar's competitive moat stems from a first-mover process advantage rather than an insurmountable structural barrier. While effective today, that operational lead may erode as floating liquefaction technology matures.
Finally, the ongoing strategic review creates a binary valuation catalyst. A corporate sale or merger at a premium would validate the board's claim that public markets undervalue the business; conversely, concluding the review without a transaction would imply a lack of buyer interest at management's valuation, following months of minimal public commentary.[^5]
What This Story Teaches
Two broader corporate lessons emerge from Golar's trajectory.
The first concerns corporate focus. Between 2021 and 2025, Golar sold its downstream business near the peak of energy-transition valuations, spun off its shipping fleet into a separately capitalized entity with a dedicated operator, and systematically unwound legacy contracts and non-core stakes.1011[^14] While corporate leadership teams frequently tout operational focus while retaining diversified assets, genuine simplification occurs when a company divests profitable secondary businesses because they consume executive bandwidth—a discipline Golar demonstrated.
The second lesson involves the nature of competitive moats. Golar's market position rests neither on patent protection nor brand equity, but on solving a complex engineering challenge: operating cryogenic liquefaction on a floating hull continuously for years. While first-mover engineering advantages provide a strong initial lead, they are inherently perishable, as commercial success demonstrates feasibility to potential competitors.
Consequently, the next twelve months will determine Golar's long-term trajectory. The Hilli must complete a long-distance tow, a shipyard retrofit in Singapore, and complex commissioning off Argentina. An essential 500-kilometer pipeline across Patagonia must be constructed by an entity outside Golar's direct control. Management must either convert its growth pipeline into a binding fourth vessel order or defer expansion further. Meanwhile, the board must bring its strategic review to a conclusion. Over the past decade, Golar proved that floating liquefaction works; its remaining task is to prove it can scale that technology into a broader infrastructure platform rather than a limited set of standalone assets.
