Sandoz Group AG: The Off-Patent Biopharmaceutical Giant's Independence Play
I. Introduction & The Sandoz Paradox

The symbol was SDZ, representing Sandoz Group AG, which Novartis had just spun off to its shareholders as a dividend-in-kindâdistributing one Sandoz share for every five Novartis shares owned, with no cash raised, no bookrunners, and no traditional roadshow.1 The stock opened at CHF 24.00, giving the newly independent company an initial equity valuation of roughly CHF 10.3 billion.23
Spinoffs conducted without an initial public offering rarely generate headlines, yet they frequently reshape billions of dollars in enterprise value. In Sandoz's case, there was no traditional opening bell or public equity sale. Novartis simply separated its generics and biosimilars division into a standalone entity and left public markets to determine its value.
The market's initial verdict was muted. With an equity valuation of CHF 10.3 billion against roughly $9.6 billion in net sales, Sandoz debuted at a multiple suggesting investors viewed it much as it had functioned within Novartis: a slow-growing, capital-intensive manufacturer of low-margin commodity drugs subject to persistent price deflation. In its first full year as an independent company, Sandoz reported a core EBITDA margin of 18.1%ârespectable for generic pharmaceuticals, but unremarkable relative to the broader healthcare sector.4
Nearly three years later, on August 5, 2026, Sandoz reported first-half results, sending its stock up as much as 8.1% intraday to CHF 69.46.5 Its market valuation had nearly tripled from its debut, reflecting a fundamental shift in how investors appraised the business.
The Sandoz paradox centers on an operational and strategic transformation: how does a 140-year-old Basel chemical enterpriseâwhich originated producing synthetic dyes along the Rhine, developed breakthrough pharmaceuticals like ergotamine and LSD, and was later absorbed in what was then history's largest corporate mergerâreposition itself as a high-barrier biologics manufacturer while decoupling twenty-seven years of integrated IT infrastructure, manufacturing facilities, procurement contracts, and personnel?
The core thesis to test rests on a stark structural difference in pharmaceutical manufacturing. Small-molecule genericsâthe pills, capsules, and creams that replicate chemically synthesized drugsâoperate in a high-volume, price-deflating market. Low technical barriers allow widespread competition, while in the United States, three major purchasing alliances command the market and force annual price reductions. Biosimilars, by contrast, present far higher barriers to entry. As complex copies of biologic medicines grown in living cells, they require hundreds of millions of dollars and nearly a decade to develop, followed by extensive patent litigation. Because fewer competitors can enter the market, biosimilar prices erode more gradually and from a significantly higher starting point.
Management's strategy assumes that altering the product mixâincreasing the proportion of higher-margin biosimilars while reducing reliance on commodity small-molecule drugsâcan raise group core EBITDA margins from 18.1% to between 24% and 26% by 2028.6 This is an ambitious target: expanding margins by six to eight percentage points over five years requires driving group profitability higher even as Sandoz's largest revenue segment contracts in real terms.
Early execution supports this trajectory: core EBITDA margin reached 20.1% in 2024, 21.7% in 2025, and 20.9% in the first half of 2026, with management projecting roughly 100 basis points of full-year expansion.748 However, initial margin gains do not guarantee long-term execution. The second phase of margin expansion will be harder to achieve, as initial cost savingsâsuch as rationalizing unprofitable product lines and eliminating corporate overhead allocations from Novartisâare one-time benefits.
This narrative examines how Sandoz constructed that transformation. The company's trajectory spans its origin as a nineteenth-century dye producer in Basel, its absorption in a mega-merger that temporarily erased its corporate identity, an aggressive generics acquisition strategy executed near market peaks, and a failed asset sale blocked by the U.S. Federal Trade Commission. It culminates in Sandoz launching the first FDA-approved biosimilar in the United States and facing intense present-day competition from nimble Korean manufacturers with lower cost structures.
II. Origins: Dye Stuffs, Ergot Alkaloids, and the LSD Epoch (1886â1996)
On July 1, 1886, chemists Alfred Kern, thirty-six, and Edouard Sandoz, thirty-three, established a partnership on 11,000 square meters of land along the Rhine in Basel. Kern brought technical experience from various Swiss chemical ventures, while Sandoz provided commercial direction. Operating as Kern & Sandoz, they began manufacturing synthetic dyes, including alizarin blue and auramine, for the European textile trade.9
The nature of 1880s dye manufacturing explains the origin of many modern European pharmaceutical majors. Synthetic dye production was the first scalable industrial chemistry, converting coal tar derivatives into complex organic molecules. The technical discipline required to control reactions at scale, purify compounds, and characterize molecular structures directly matched the capabilities needed to produce medicines. Situated at the crossroads of Swiss capital, German chemical expertise, and Rhine River shipping, Basel developed the world's densest concentration of chemical talent, giving rise to firms including Ciba, Geigy, and Hoffmann-La Roche.
Following Kern's death in 1893, Sandoz recruited chemist Robert Gnehm and initiated a strategic shift from textile dyes toward therapeutic compounds. Within a decade, the enterprise produced antipyrine, a fever reducer, completing its transition into pharmaceuticals.9
During the twentieth century, Sandoz established its core scientific franchise in ergot alkaloidsâcompounds derived from a rye fungus with potent effects on vascular and nervous systems. Through a systematic research program isolating and modifying these molecules, Sandoz developed ergotamine, a foundational migraine therapy, alongside derivatives for obstetric and circulatory applications. The effort established an early model for structured pharmaceutical research platforms.
That research platform also yielded one of the most culturally significant discoveries in pharmaceutical history. On November 16, 1938, Sandoz chemist Albert Hofmann synthesized lysergic acid diethylamide (LSD-25) while investigating circulatory and respiratory stimulants. Initial testing on animals showed little therapeutic promise beyond mild restlessness, leading the company to shelve the compound.10 On April 16, 1943, Hofmann re-examined the molecule, accidentally absorbing a trace quantity and experiencing intense psychoactive effects. Three days later, he deliberately ingested 250 micrograms and experienced the full effects during a bicycle ride through Baselâan event later remembered as "Bicycle Day."11
Sandoz commercialized the substance in 1947, marketing LSD to psychiatric researchers under the trade name Delysid. For two decades, Delysid served as an experimental tool distributed to academic institutions and hospitals.11 However, as the drug spread beyond clinical settings and became central to 1960s counterculture, Sandoz withdrew it from the marketâan early example of a drug manufacturer losing control over a compound's societal use.
The remainder of the twentieth century was marked by industrial consolidation. Sandoz expanded into a global conglomerate encompassing pharmaceuticals, agrochemicals, nutrition, and specialty chemicals. It grew alongside its Basel rivals Ciba and Geigy, which had merged in 1970 to form Ciba-Geigy.
On March 7, 1996, Ciba-Geigy and Sandoz announced a $27 billion merger to create Novartis, which stood at the time as the largest corporate combination in history.1213 The transaction closed in December 1996, retiring the 110-year-old Sandoz brand name.
This early history established a recurring strategic pattern. Sandoz developed technical franchisesâfirst in ergot alkaloids during the twentieth century and later in biosimilars in the twenty-firstâby mastering complex chemistry and biology that competitors avoided. Yet it was twice absorbed into larger corporate structures with differing strategic priorities. The fundamental question for Sandoz's modern era is whether corporate independence enables it to break that historical pattern.
III. The Novartis Era: Building a Generic Roll-Up and the M&A Trap (1996â2017)
Seven years after retiring the brand following the Ciba-Geigy merger, Novartis revived the Sandoz name.
In 2003, the group consolidated its scattered generic-medicine subsidiariesâa patchwork of regional operations built or acquired over decades under a dozen local brand namesâunder the unified Sandoz umbrella. The rebrand served a practical commercial purpose: a generic drug division requires credibility with hospital procurement committees and national health authorities rather than consumer brand recognition, and the Sandoz name retained more than a century of Basel manufacturing reputation.
Novartis then embarked on an aggressive acquisition drive to build operational scale, initiating a strategy that demonstrated both the power and the structural limits of generic drug roll-ups.
The roll-up years
On February 21, 2005, Novartis announced it would acquire 100% of German generics leader Hexal AG and a controlling stake in U.S.-listed Eon Labs for a combined EUR 5.65 billion in cash.14 Hexal ranked as the second-largest generics producer in Germany with an established European footprint, while Eon was a rapidly growing American operator with an existing partnership with Hexal. Novartis completed the Hexal purchase in June 2005 and the Eon tender offer in July.15
The underlying thesis rested on scale, and the immediate result proved dramatic: the combination vaulted Sandoz past Israel's Teva to make it, briefly, the largest generics manufacturer in the world.15 Teva reclaimed top ranking the following year by acquiring Ivax, and the two rivals repeatedly exchanged leadership over the next decade. The dynamic highlighted a core reality of the generics industry: market leadership was rented rather than owned, easily reallocated to whichever competitor executed the next major acquisition.
Seven years later, Sandoz expanded its portfolio again. On May 2, 2012, it agreed to buy Fougera Pharmaceuticalsâa U.S. specialty dermatology generics maker owned by a private-equity consortium led by Nordic Capitalâfor $1.525 billion in cash, closing that July.1617 The combined dermatology franchise generated roughly $620 million in annual sales, concentrated heavily in the United States, establishing Sandoz as the world's largest generic dermatology company.16
What the deals actually bought
A closer examination of the Fougera transaction highlights the valuation dynamics of the era. Paying $1.525 billion to anchor a business contributing to a roughly $620 million franchise implied a valuation multiple near 2.5 times sales for topical creams and ointmentsâproducts whose competitive moat derived from specialized formulation and manufacturing complexity rather than long-term patent protection. This represented a full price for an asset class where technical entry barriers, though real, remained finite.
Both the Hexal-Eon and Fougera acquisitions shared a structural vulnerability that was obscured at signing but evident a decade later: they were bets that U.S. small-molecule generic prices would hold steady. Novartis acquired scale in oral solid doses and topicals at the exact moment American drug purchasers were consolidating into powerful alliances that stripped manufacturers of pricing power.
The acquisitions illustrate a central lesson of commoditized markets. Building scale in a standardized product category assumes that size confers pricing power. While scale provides cost efficiency, cost advantages in a market dominated by three consolidated buying groups are quickly competed away through price reductions. Manufacturers end up operating larger, more efficient factories while product prices decline faster than unit production costs.
The conglomerate subsidy trap
A second structural challenge was internal, creating the capital allocation friction that ultimately justified the 2023 spinoff.
Within Novartis, Sandoz functioned as the high-volume engine. It generated reliable cash flow, supported an extensive European manufacturing footprint, and provided market reach in distribution channels that the innovative pharmaceuticals division did not touch. What it could not do was win capital allocation arguments.
Throughout the 2010s, Novartis's capital allocation committee faced starkly contrasting options. Investing an incremental dollar into a biosimilar development program required seven to nine years of work, a large clinical trial program, and complex patent litigation, with ultimate gross margins in the 60% range. Alternatively, directing that dollar into patent-protected innovative medicines like Entresto, Cosentyx, or Zolgensma yielded gross margins above 85%, multi-billion-dollar peak sales potential, and direct alignment with the parent company's strategic identity.
From a portfolio management perspective, prioritizing innovative therapeutics was entirely logical. However, this dynamic meant that for roughly fifteen years, high-return opportunities within Sandoz were systematically constrained by even higher-return alternatives elsewhere in the organization.
This situation demonstrated the classic conglomerate subsidy trap: a business division is not underfunded because it is underperforming, but because it sits alongside higher-margin corporate priorities. Resolving the constraint required establishing Sandoz as an independent entity, allowing its capital to be priced against its own opportunity set rather than that of a novel drug innovator.
By the mid-2010s, however, an even more urgent challenge was emerging from the American marketâarriving faster than Sandoz leadership had anticipated.
IV. The Generic Price Cliff and the Failed Aurobindo Fire Sale (2018â2020)
By 2015, the traditional economic model governing U.S. generic pharmaceuticals began to unravel.
For decades, the arithmetic of American generics had remained predictable: annual price erosion stayed in the mid-single digits, volume growth offset price declines, and new product launches continually replenished earnings. But within a few years, annual price declines accelerated into the 10% to 15% rangeâand in certain high-volume categories, fell even fasterâwithout stabilizing.
The driver of this shift was structural. Between 2013 and 2016, major U.S. drug buyers consolidated into three purchasing alliances: Red Oak Sourcing (CVS Health and Cardinal Health), ClarusONE (Walmart and McKesson), and Walgreens Boots Alliance Development. Together, these three consortiums controlled the vast majority of retail generic purchasing volume in the United States. Almost overnight, a fragmented market of drug manufacturers faced a concentrated group of three dominant buyers.
The market dynamics proved relentless. When multiple manufacturers produce identical bioequivalent tablets and three consortiums command shelf access, buyers conduct reverse auctions that force producers toward marginal cost. Neither manufacturing scale nor high production standards offered pricing power, because bioequivalence serves as a binary regulatory threshold rather than a point of commercial differentiation. For generic producers, survival required either shifting to complex, high-barrier formulations or exiting commodity markets altogether.
The exit that wasn't
Novartis initially chose to exit. In September 2018, it agreed to sell Sandoz's U.S. generic oral solids and dermatology portfolioâencompassing the legacy Fougera assets along with its oral tablet businessâto Indian manufacturer Aurobindo Pharma in a transaction valued at approximately $1 billion.18
Strategic logic aligned for both parties. Aurobindo possessed a low-cost manufacturing footprint in India and the scale necessary to operate in a deflating U.S. retail market, while Novartis aimed to divest its most price-sensitive operations and redeploy capital into higher-margin innovator drugs.
However, the transaction stalled during regulatory review. Over the subsequent eighteen months, the U.S. Federal Trade Commission evaluated overlapping product portfolios between the two producers amid heightened scrutiny over generic market concentration and ongoing industry-wide antitrust investigations into generic price-fixing.
On April 2, 2020, Novartis and Aurobindo announced that they had mutually agreed to terminate the deal, stating that FTC approval had not been obtained within anticipated timelines.19 There was no break fee.20 Consequently, Novartis retained ownership of a division it had spent eighteen months attempting to divest.
The consolation prize
The transaction's termination initially left Sandoz in a difficult position. The company retained a U.S. small-molecule franchise that management had explicitly declared non-core, while operating margins continued to face downward pressure. However, executive leadership had already begun to shift. In 2019, Richard Saynor assumed the role of CEO at Sandoz, bringing extensive experience managing mature, off-patent pharmaceutical portfolios at GSK and Teva.
Rather than seeking another buyer, Saynor initiated an operational restructuring centered on three strategic pillars.
First, Sandoz systematically exited unprofitable commodity markets. Instead of defending market share in commoditized oral solids, management pruned product lines that failed to clear profitability thresholds, accepting top-line volume declines to protect overall margins.
Second, the company reallocated capital toward high-barrier complex medicines. Resources previously dedicated to defending commodity generics were redirected into biosimilars, where technical and clinical hurdles limited competitive entry and slowed price erosion.
Third, Sandoz repurposed its European manufacturing footprint into a strategic asset. While European production incurred higher operating costs relative to Asian manufacturing hubs, maintaining regional facilities offered supply-chain securityâa capability that gained significant value as COVID-19 pandemic disruptions highlighted global antibiotic shortages and supply dependencies.
Ultimately, the failed Aurobindo transaction forced a strategic pivot that a successful divestment might have delayed. Rather than monetizing the asset and shrinking its generic footprint, Sandoz was compelled to restructure its product mix around higher-margin biosimilars and complex formulationsâestablishing the operational foundation required for its eventual independence from Novartis.
V. The Great Pivot: Pioneering Biosimilars and the October 2023 Spin-Off
Understanding why biosimilars represent a fundamentally different economic model from traditional generics requires examining the structural gap between chemical synthesis and biological manufacturing.
A small-molecule drug features a fixed, defined chemical structure. Once that structure is known, a manufacturer can synthesize the compound, verify chemical identity, demonstrate bioequivalence in a small cohort of healthy volunteers, and submit an abbreviated regulatory application. Development typically costs single-digit millions of dollars, centered on a straightforward regulatory question: whether the synthesized molecule is identical to the reference drug.
A biologic, by contrast, is a complex protein produced inside living cells. Its identity depends not only on its primary amino acid sequence, but also on cellular folding, glycosylation patterns, and purification protocols. Any modification to cell lines, growth media, temperature, or purification resins alters the final product. Consequently, manufacturers cannot simply replicate the molecule; they must independently engineer a cell line to produce a functionally equivalent protein, then prove biosimilarity through extensive analytical characterization and comparative clinical trials. Development expenses frequently reach hundreds of millions of dollars over nearly a decade, followed by complex litigation against originators defending dense patent thickets.
This structural cost barrier creates a natural competitive moat. It also explains why biosimilar prices decline more gradually than small-molecule generics: entering a market with four competitors rather than fourteen yields far less aggressive price erosion during market auctions.
Sandoz got there first, twice
Sandoz built its position in biosimilars by pioneering regulatory approval pathways in both Europe and the United States.
On April 12, 2006, the European Medicines Agency approved Omnitrope, a biosimilar recombinant human growth hormone referencing Genotropin, making it the first biosimilar authorized in a major regulated market.21 Europe established a biosimilar regulatory framework well ahead of the U.S., and Sandoz served as the initial test case for the new regulatory pathway.
Nine years later, the company achieved a similar milestone in the United States. On March 6, 2015, the U.S. Food and Drug Administration approved Zarxio (filgrastim-sndz), a biosimilar referencing Amgen's Neupogen, as the first biosimilar authorized under the Biologics Price Competition and Innovation Act.22 Following litigation with Amgen, Sandoz launched Zarxio in September 2015.23 To support its U.S. filing, Sandoz leveraged more than 7.5 million patient-days of European clinical exposure with the product, demonstrating how early European experience could accelerate U.S. market entry.
First-mover status provided tangible advantages, though with distinct strategic limits. Early regulatory navigation built institutional expertise in review procedures, established working relationships with regulatory bodies, and refined internal analyticsâcapabilities that compress development timelines rather than block competing entrants.
The patent cliff that made it worth doing
The commercial expansion of biosimilars was driven by an unprecedented wave of patent expirations across major biologic therapeutics. Blockbuster drugs introduced in the 1990s and 2000sâincluding Humira (adalimumab), Stelara (ustekinumab), Eylea (aflibercept), Tysabri (natalizumab), Prolia and Xgeva (denosumab), and Soliris (eculizumab)âfaced loss of exclusivity within a compressed timeframe, exposing more than $100 billion in annual originator revenues to off-patent competition.
Sandoz targeted this opportunity with a specialized biosimilar portfolio. Key products included Hyrimoz (referencing adalimumab); Tyruko (referencing natalizumab), which received FDA approval on August 24, 2023, as the first biosimilar natalizumab;24 Pyzchiva (referencing ustekinumab), approved on July 1, 2024;25 Enzeevu (referencing aflibercept in the U.S.) alongside its European counterpart Afqlir; and Wyost and Jubbonti (referencing denosumab).
Rather than relying solely on internal R&D, Sandoz assembled this pipeline through a hybrid model of in-house development, strategic licensing, and targeted acquisitions. For example, Pyzchiva originated from a September 2023 partnership with Samsung Bioepis, under which Samsung Bioepis managed development while Sandoz secured commercialization rights in key markets.26 Sandoz similarly acquired commercial assets such as Cimerli to expand its product breadth. This strategy established Sandoz as a global commercialization platform for off-patent biologics as much as a direct developerâa distinction that carries different margin profiles and partnership dependencies.
The separation
Novartis finalized the spin-off parameters on September 25, 2023, and executed the transaction on October 4.271 The separation involved no capital raise or public equity offering; instead, shares were distributed directly to existing Novartis equity holders as a tax-neutral dividend-in-kind.
Choosing a direct spin-off over an initial public offering reflected strategic market positioning. A traditional IPO would have forced Novartis to market the equity during a period of depressed valuations for generic drugmakers. A dividend-in-kind bypassed immediate price discovery, leaving market valuation to secondary trading as Sandoz established its operational performance. However, this structure placed a large volume of stock with index funds and institutional investors focused primarily on innovative pharmaceuticals, resulting in predictable early selling pressure that weighed on the shares during their initial trading sessions.
The umbilical cord
Beyond portfolio strategy, corporate independence required unwinding twenty-seven years of shared operational infrastructure. Operating within Novartis meant Sandoz shared enterprise resource planning systems, treasury management, quality control protocols, procurement agreements, distribution networks, regulatory filings, real estate, and IT networks with its parent company. Establishing independent operations required deploying hundreds of standalone systems and renegotiating thousands of commercial contracts while maintaining uninterrupted drug supplies.
The financial cost of this operational uncoupling was substantial. One-off separation and transformation expenses peaked at approximately $700 million in 2024, decreased to around $400 million in 2025, and were projected at roughly $300 million for 2026.4 For the first half of 2026, management reported underlying one-off separation costs of âŹ142 million and reaffirmed its full-year run rate expectation of approximately âŹ300 million, signaling that the separation process was nearing completion.8
This downward trajectory in separation expenses directly impacts cash flow interpretation. As one-time separation outlays fade, a significant portion of recent free cash flow improvement stems from the runoff of temporary separation costs rather than core operational gains. Disentangling these temporary expense roll-offs from ongoing business performance remains critical to evaluating Sandoz's steady-state earnings power.
VI. Segment Economics and the Materiality Breakdown
Evaluating Sandoz requires moving beyond consolidated figures to examine the two distinct operating models within the enterprise.
For full-year 2025, Sandoz reported net sales of $11.1 billion, representing a 5% increase at constant currencies. Generics generated $7.8 billion, or 70% of total revenue, while biosimilars contributed $3.3 billion, or 30%, after growing 13% at constant currencies.284 By the first half of 2026, the product mix shifted further: biosimilars expanded 20% at constant currencies to reach a record $1.875 billionâor 33% of total revenueâwhile generics contracted 1% at constant currencies to $3.886 billion.829
This shifting revenue distribution encapsulates both the core investment thesis and its primary operational risk.
Segment one: generics, or the business that pays for everything
The generics division spans multiple product formats, including oral solids, oral liquids, complex injectables, ophthalmics, dermatology, and active pharmaceutical ingredients (APIs) sold to third parties as well as consumed internally.
The primary asset within this segment is the manufacturing complex in Kundl, located in the Austrian Tyrol. As Europe's last remaining fully integrated penicillin manufacturing facility, Kundl executes the complete production cycle from fermentation to finished dosage forms. Sandoz remains the sole producer in the European Union of 6-aminopenicillanic acid, the foundational chemical intermediate required for all penicillin antibiotics.30 The site manufactures approximately 4,000 metric tons of amoxicillin annually, supplying the world's most widely prescribed antibiotic.31
In 2021, Sandoz committed âŹ150 million to upgrade the site, supported by âŹ50 million from the Austrian federal government under a public initiative to secure European antibiotic supply chains.32 The expanded plant was inaugurated in November 2023 and officially opened in March 2024, expanding Kundl's annual capacity to roughly 240 million packagesâa 20% increase over 2023 levels and more than double its 2021 output.3331
The strategic rationale behind the investment is straightforward: government co-financing to mitigate dependency on Asian suppliers effectively elevates a commodity antibiotic facility into critical national infrastructure.
However, financial performance in 2025 and 2026 highlighted the limits of regional supply security. On the full-year 2025 earnings call, management acknowledged that its business-to-business penicillin franchise faced pressure from aggressive pricing by Asian suppliers, warning that the headwinds would continue into the first half of 2026.34 That pressure materialized as projected: generic revenues contracted at constant currencies in the first half of 2026, with equity analysts identifying competition from Chinese penicillin API producers as a primary drag and anticipating further margin pressure in the third quarter.5
This dynamic illustrates the difference between policy objectives and commercial execution. While European health authorities emphasize supply chain resilience, public procurement frameworks continue to award contracts primarily on price. Until European tendering regulations formally incorporate premiums for regional manufacturingâa policy concept discussed but not broadly enactedâKundl's strategic value generates political goodwill rather than immediate gross margin expansion.
Structurally, the generics division generates margins below the group average while serving as the foundational cash generator funding biosimilar R&D and capital projects. Management has maintained its commitment to the core segment, supported by a development pipeline of more than 300 generic assets designed for patent expirations extending through 2036.8 Within the broader equity story, the segment's role is to provide stable cash flow while higher-margin products assume a larger share of group revenue.
Segment two: biosimilars, or the reason anyone owns the stock
The biosimilar portfolio represents the primary driver of group margin expansion. Because gross margins on biologic copies far exceed those of traditional generics, the segment accounts for a disproportionate share of overall earnings growth despite generating only a third of group revenue.
First-half 2026 results illustrated this operational leverage. Just-Evotec Biologics (2025). Conversely, a plateau caused by PBM private-label expansion, Asian price competition, or launch delays would prevent management from meeting its 2028 projections.
Second, core EBITDA margin trajectory against medium-term targets. Management has targeted a 24% to 26% core EBITDA margin by 2028.68 Moving from 21.7% at year-end 2025 requires consistent annual expansion of roughly 100 basis points as one-time separation benefits fade, making each reporting period a direct measure of underlying operational leverage.
Third, free cash flow conversion. Management free cash flow reached $1.5 billion in 2025.4 Evaluating cash performance following the 2026 capital expenditure peak will determine whether reported margin gains reflect genuine economic profitability or working capital and accounting adjustments.
X. Playbook: Business and Investing Lessons
The Sandoz trajectory yields three durable strategic and investment lessons that extend well beyond the pharmaceutical industry.
Corporate carve-outs work because capital gets repriced, not because management gets better. The executive team running Sandoz after its October 2023 spin-off remained largely identical to the team that managed it within Novartis. What shifted was the opportunity cost of capital. Within Novartis, an incremental dollar allocated to biosimilar development competed against higher-margin blockbusters like Cosentyx and lost. Within an independent Sandoz, that same dollar competes against share repurchases or debt reductionâand clears corporate hurdle rates far more easily. Core EBITDA margin expanded from 18.1% to 21.7% in two years without altering the underlying science.4 For investors, the takeaway is to identify corporate divisions whose high-return opportunities are rationally starved by even higher-margin priorities elsewhere in a conglomerate. The latent value resides not in hidden operational efficiencies, but in the capital allocation hierarchy that constrained it.
The corollary is equally important: trapped value is finite and releases rapidly. Once low-hanging cost rationalization is complete and corporate separation expenses run off, the enterprise must generate incremental returns through ordinary operational execution. Investors who extrapolate the initial margin expansion of a carve-out into perpetuity risk mistaking a one-time structural re-rating for permanent momentum.
Climbing the complexity curve is the primary defense against commodity deflation. The collapse in U.S. generic drug pricing was not a temporary cyclical downturn, but a structural shift driven by buyer consolidation. Once a customer base concentrates into three dominant purchasing consortiums and products become legally certified bioequivalent commodities, pricing power cannot be restored through manufacturing scale alone. The only strategic defense is migrating toward complex product categories where technical, clinical, and regulatory hurdles limit competitive entry.
Sandoz executed this transition by expanding from small-molecule generics that cost single-digit millions to copy into complex biologics requiring hundreds of millions in development capital. While effective, the rapid rise of agile South Korean competitors demonstrates that technical complexity provides temporary breathing room rather than permanent insulation. Capable rivals inevitably scale the same curve. Sustained competitiveness requires continuous advancement, making structural cost investmentsâsuch as the acquisition of Just-Evotec's continuous manufacturing platformâmore strategically decisive over the long term than any single biosimilar launch.
Sovereign industrial relevance is real optionality, but it is not yet cash flow. Kundl's position as Europe's last integrated penicillin producer and the only EU manufacturer of 6-APA gives Sandoz something no competitor has: a seat at the table when European governments discuss pharmaceutical supply security, and a legitimate claim on public co-investment.3032
However, penicillin financial performance in 2025 and 2026 illustrates the gap between geopolitical salience and commercial reality. European procurement frameworks have not yet been restructured to award pricing premiums for regional manufacturing, leaving buyers to purchase the lowest-cost intermediates supplied primarily from Asia. For investors, strategic industrial assets function more like real options than fixed annuitiesâyielding value if government tendering policies shift, but operating as capital-intensive facilities until then. Sandoz's shareholders effectively hold a call option on European industrial policy: potentially valuable over the long term, but not yet monetized.
XI. Epilogue and What to Watch
On the morning of August 5, 2026, Sandoz reported that biosimilars had reached a record 33% of net sales, that its pipeline had expanded to 36 assets, and that management was maintaining full-year guidance despite accelerating price erosion.298 Intraday, the shares rose as much as 8.1%.5 Equity research opinion remained sharply divided: Jefferies maintained a Buy rating with a CHF 82 price target, while Morgan Stanley held an Underweight rating at CHF 55âa wide valuation spread signaling that Wall Street has not yet reached a consensus on the company's steady-state identity.5
That divergence reflects the current state of the Sandoz narrative. The company is roughly halfway through a multi-year restructuring announced at its spin-off and executed on schedule thus far. The second half, however, presents steeper operational hurdles: early cost-cutting and separation-expense tailwinds are diminishing, capital expenditure is reaching its peak, major U.S. biosimilar opportunities remain concentrated under three powerful purchasing intermediaries, and low-cost South Korean competitors continue to execute with greater speed.
Sandoz counters these challenges with a 140-year manufacturing heritage across Basel, Kundl, Schaftenau, Holzkirchen, Ljubljana, and Toulouse, a global commercial footprint spanning more than 100 markets, and the institutional experience of pioneering biosimilar regulatory approvals in Europe and the United States. Whether these assets constitute a durable competitive moat or merely a temporary head start will be tested over the next two years.
Three key factors warrant close attention:
The commercial trajectory of recent biosimilar launches. First-mover pricing advantages for denosumab face three established competitors in the market, while roll-outs for ustekinumab and aflibercept remain in early stages. The rate of price erosion across these products will serve as the clearest real-time test of whether biosimilar economics can withstand competition better than traditional genericsâthe core assumption underlying management's margin targets.
Whether capital expenditure declines after 2026. Management has identified 2026 as the peak investment year.34 Disclosed capex figures for 2027 will confirm whether spending moderates as projected, determining whether core margin expansion translates into sustained free cash flow growth.
How U.S. trade policy evolves. With a 100% tariff scheduled to take effect in August 2028 and 200% thereafter, a producer reliant on European manufacturing facilities to supply a substantial U.S. business has roughly two years to reconfigure supply chains, absorb higher costs, adjust pricing, or exit specific product lines.50 Each option carries significant financial and operational implications. Trade policy represents the largest external variable in Sandoz's outlookâand one over which management has no direct control.
