Going public, and the contract that made it matter. Two structural developments occurred in 2001. On March 13, the company completed an initial public offering.1 Although German technology equities were experiencing severe drawdowns following the collapse of the Neuer Markt, OHB sought public capital primarily to fund industrial acquisitions rather than software expansion.

Later that year, OHB secured the contract for SAR-Lupe, the German armed forces' radar reconnaissance satellite constellation.1 The award established OHB as a prime systems provider for a classified national security program.

Radar reconnaissance satellites generate imagery through cloud cover and darkness by transmitting their own signals. For defense customers, this provides independent orbital intelligence. Winning the SAR-Lupe contract brought OHB security clearances and sovereign prime contractor status in defense procurement, establishing high barriers to entry for potential domestic competitors.

By the end of 2001, OHB had established its core corporate framework: a publicly listed vehicle, controlling family ownership, a sovereign defense anchor customer, and an operating model focused on cost discipline. However, the company still lacked industrial manufacturing scale for larger satellite platforms — a limitation management sought to address through acquisitions over the following decade.

III. Strategic M&A & The "Mid-Tier Prime" Playbook (2002–2009) (15 Minutes)

The acquisition brought an industrial facility in Augsburg, Germany, specializing in metallic structures and cryogenic propellant tanks for the Ariane rocket family. Manufacturing cryogenic tanks requires handling liquid oxygen and liquid hydrogen at extreme sub-zero temperatures, withstanding launch vibration while keeping structural weight to a minimum. Because every kilogram of tank mass reduces available payload capacity, mastering these specifications relies on decades of accumulated process engineering.

The strategic rationale relied on continued European institutional backing for the Ariane program to ensure sovereign access to space. As a single-source supplier, MT Aerospace eventually manufactured approximately 10% of the Ariane 6 launch vehicle by content, producing core and upper-stage propellant tanks, metallic structures, Vulcain engine bay elements, and booster sections.11

However, single-source supplier status created operational exposure during program delays. Between 2005 and the mid-2020s, low launch volumes and repeated Ariane 6 schedule slippages made the asset a financial drag. The structural position generated growth only once Ariane 6 achieved series production.

In October 2025, OHB acquired Apollo's 30% stake to take full ownership of MT Aerospace, with Chief Executive Officer Marco Fuchs citing the need to strengthen the group's position in European defense manufacturing.10 The transaction price was not disclosed.10 Buying out the financial partner as European defense procurement accelerated consolidated OHB's operational control over a critical supply chain asset.

Move two: acquiring payload integration capability. In 2007, OHB executed a second acquisition, purchasing Kayser-Threde, a Munich-based engineering firm specializing in scientific instruments and optical payloads.12

Kayser-Threde was a profitable engineering house advancing into payload integration. The company was positioned to build the optical payload for EnMAP, a German government hyperspectral Earth observation satellite. Hyperspectral sensors capture hundreds of narrow spectral bands, allowing analysts to evaluate chemical composition — such as soil moisture, mineral deposits, or crop health — rather than simple visual appearance. Building both the optical payload and the surrounding satellite bus enabled Kayser-Threde to move up the procurement chain toward prime contractor status.

Acquiring Kayser-Threde prevented a direct competitor from emerging in domestic institutional procurement while completing OHB's internal technical capabilities. Combining Kayser-Threde's payload instrumentation with OHB's satellite bus architecture allowed the group to design, manufacture, and integrate complete space systems in-house. Owning both subsystems enabled OHB to bid as a prime contractor rather than a component subcontractor, capturing higher contract margins.

The mid-tier prime playbook. OHB's acquisition strategy during the mid-2000s focused on adjacent capabilities that carried high barriers to entry, avoiding large peer mergers or unrelated defense acquisitions. Both transactions were sized to preserve financial flexibility, allowing the group to navigate the 2008–2009 global financial crisis without debt distress.

For public investors, this M&A track record offers empirical evidence of how management allocates capital under controlling family stewardship. The approach prioritized patient capability building at low entry valuations. Whether that capital discipline persists following the company's 2026 equity raise remains a key analytical focus in later sections.

By 2009, OHB had assembled payload design, satellite bus manufacturing, launcher structural production, and sovereign defense credentials within a publicly listed corporate structure. However, the company had not yet competed against major European aerospace primes for a multi-billion-euro flagship constellation contract — a threshold it crossed in its next procurement bid.

IV. The Galileo Inflection & The European Duopoly Breakout (2010–2022) (18 Minutes)

In the first week of January 2010, the European Commission announced the prime contractor selection for the operational satellites of Galileo, Europe's satellite navigation constellation. Consensus favored EADS Astrium — the German-French aerospace giant holding industry incumbency, technical heritage, and institutional backing.

Instead, the Commission awarded the contract to OHB.13

How the underdog won. Teaming with British small-satellite pioneer Surrey Satellite Technology Limited (SSTL), the Bremen-based manufacturer secured the initial batch of 14 Full Operational Capability satellites for approximately €566 million. Including non-recurring engineering costs, the contract priced each spacecraft at roughly €40.4 million.14 The OHB–SSTL bid undercut the competing proposal from EADS Astrium by approximately €100 million.

Rather than a simple triumph of smaller engineering over an industry giant, the outcome reflected a structural procurement dynamic. Galileo spacecraft required serial manufacturing rather than bespoke development: medium Earth orbit navigation constellations depend on multiple standardized units carrying atomic clocks and navigation payloads. Winning serial hardware contracts favors lower-overhead builders. OHB's operating structure — characterized by leaner engineering teams and lower corporate overhead since its 1985 restructuring — aligned directly with unit-cost minimization.

Reflecting on the award during subsequent bidding rounds, Marco Fuchs noted that as an underdog entering the initial tender, the firm's success rested strictly on proposal quality and price-competitive execution.14 The assessment underlined the transaction-driven nature of the procurement.

The margin trap nobody mentions in the press release. Winning on price in a monopsonistic market creates a structural pricing baseline. Once a sole institutional buyer establishes an initial low-cost benchmark, subsequent contracting cycles pressure the supplier for further price concessions.

When soliciting follow-on procurement batches, the European Commission publicly targeted price reductions of at least 18% relative to OHB's baseline rate. The target pushed per-unit pricing to approximately €33.3 million for a six-satellite order, or €25 million per unit if extended to eight spacecraft.14 The institutional buyer leveraged initial tender results to lower procurement costs over time. Furthermore, the Commission's deliberate dual-sourcing policy — maintaining two competing manufacturing lines — created periodic volume constraints across the supplier base, forcing contractors to alternate between procurement cycles.14

Despite those pricing pressures, OHB secured successive orders, manufacturing 34 of the 38 first-generation Galileo satellites.1 However, the contract series yielded modest operational margins rather than premium returns. The dynamic illustrates a recurring structural tension in OHB's financial profile: where competitive advantage relies on cost leadership, monopsonist customers actively capture those efficiencies, placing volume expansion and margin growth in opposition.

The betrayal, the lawsuit, and the overhang that is still live. In January 2021, the European Commission selected Airbus Defence and Space and Thales Alenia Space to build the second generation of Galileo satellites, excluding OHB from the follow-on constellation awards despite its dominant share of first-generation manufacturing.

OHB challenged the decision through litigation, alleging that Airbus had improperly acquired proprietary trade secrets by hiring a former OHB executive who had held a key role in drafting OHB's tender. Taking the dispute to EU judicial bodies, OHB secured a temporary order from the General Court in early 2021 suspending contract execution pending judicial review.15

In April 2023, the General Court dismissed OHB's challenge, permitting contract execution to proceed.

However, on June 11, 2025, the Court of Justice of the European Union set aside the lower ruling in Case C-415/23 P and remanded the dispute to the General Court for re-examination.16 The appellate court ruled that judicial review could not exclude the possibility that information acquired via executive recruitment provided an unfair competitive advantage.

As of August 2026, the litigation remains pending. The ongoing proceeding represents a double-edged factor for the business. While a favorable judgment could result in financial damages or contract re-tendering, legal action against key procurement authorities and industrial consortium partners introduces commercial friction. Marco Fuchs's background as an attorney is evident in the company's assertive legal strategy. Nonetheless, institutional order intake since 2021 indicates that active litigation has not impaired OHB's ability to secure new procurement awards.

The other flagships, and the one that nearly cost real money. Alongside Galileo, OHB expanded its payload and platform footprint during the 2010s. The group contributed to Meteosat Third Generation, Europe's meteorological satellite system operated by EUMETSAT,17 as well as multiple science missions for the European Space Agency. It also completed and delivered EnMAP, the German hyperspectral mission that prompted the earlier acquisition of Kayser-Threde.

Additionally, OHB developed SARah, the €1.2 billion radar reconnaissance successor to SAR-Lupe for the German Ministry of Defence, comprising two OHB reflector satellites and one Airbus-built phased-array satellite.18 Following their launch in December 2023, both OHB-built satellites experienced operational anomalies when their deployable radar antennas failed to unfurl in orbit, rendering the reconnaissance payloads temporarily inoperable.

During an 18-month recovery effort, OHB established a €38 million financial provision to cover potential replacement spacecraft construction.18 In May 2025, following specialized orbital maneuvering protocols, both antenna systems successfully deployed, enabling full operational status and permitting the company to reverse the provision.18

The SARah deployment issue highlights crucial operational and risk dynamics for OHB. First, it demonstrated technical troubleshooting capability under spaceflight conditions. This risk structure leads directly into the underlying mechanics of contract economics and financial risk allocation across satellite manufacturing.


V. Segment Breakdown, Financial Architecture & Core Economics (20 Minutes)

In a satellite cleanroom, the initial impression is one of stillness. Technicians in protective white suits move deliberately around a single spacecraft on an assembly stand. Nothing resembles a high-volume factory line. This visual scene reflects OHB's historical economics: high-value, low-volume, labor-intensive assembly constrained by qualified engineering hours rather than high-throughput machinery.

The company operates and reports through three distinct segments, each with a distinct product profile and financial structure.

Space Systems: the engine. This segment represents the core satellite prime business, encompassing Earth observation, navigation, communications, scientific, and reconnaissance spacecraft, alongside their integrated payloads. It generates the vast majority of group activity. At the end of fiscal 2025, Space Systems accounted for €2,508 million of the group's record €3,194 million order backlog, compared to €362 million for Access to Space and €324 million for Digital.19 By the first quarter of 2026, total group backlog reached €3,354 million, with Space Systems expanding to €2,683 million.20

The segment operates on project economics. Revenue is recognized progressively as work achieves contractual milestones, tying reported quarterly results directly to the timing of customer acceptance reviews. A satellite completing its formal review in late December contributes to that fiscal year, whereas a review shifting to January moves revenue into the following cycle. Consequently, OHB's quarterly performance exhibits inherent lumpiness, creating variance for models that treat satellite manufacturing like recurring subscription revenue.

Access to Space: the industrial base. Formerly reported under the Aerospace label, this division primarily comprises MT Aerospace and launch-site services. Its operating model is capital-intensive and volume-dependent, as heavy structural and tank manufacturing involves high fixed costs that require high launch frequencies to generate operating leverage.

For much of the preceding decade, low launch rates constrained segment returns. That dynamic shifted on September 25, 2025, when ArianeGroup contracted MT Aerospace to supply components for 27 Ariane 6 rockets spanning flights 16 through 42 — expanding well beyond the initial 15 vehicles contracted in April 2021 and aligning with a planned ramp-up toward ten launches annually.11 MT Aerospace Chief Executive Ulrich Scheib characterized the contract as securing Europe's gateway to space through major contributions from its Augsburg facility.11

From an analytical perspective, a multi-year, multi-unit production series provides the volume required to transition a high-fixed-cost plant from a margin drag into an operating-leverage asset. Realizing those margin gains, however, remains dependent on Ariane 6 achieving its scheduled launch cadence — a factor outside OHB's direct operational control.

Digital: small, and the least proven part of the story. This division handles ground-segment software, satellite operations, secure communications infrastructure, and data services. It represents the smallest segment by order backlog.19 Management's strategic thesis posits that ground and data services will yield recurring, software-like margins. While conceptually plausible, this recurring model has not yet achieved the scale necessary to alter group-level margins, making it an element of long-term optionality rather than a primary thesis pillar. An operational benchmark occurred in mid-2026, when OHB Digital Connect completed the modernization of the German armed forces' SATCOMBw military ground stations by delivering the final batch of four stations — demonstrating execution capability while illustrating the segment's current modest scale.21

Cost-plus versus fixed-price, explained properly. The distinction between cost-reimbursed and fixed-price contracts represents the central economic dynamic governing OHB's risk profile.

Under cost-reimbursed contracts — standard for European Space Agency science and development missions — the customer covers allowable project costs plus an agreed fee. If technical complexity increases, the procurement authority absorbs most of the financial impact. This structure protects the contractor against downside risk while capping upside return, as operational efficiencies reduce the cost baseline upon which the fee is calculated.

Conversely, under fixed-price contracts — increasingly mandated for defense procurements and serial production runs — the contractor agrees to a firm price. Execution below estimated cost accrues to the contractor's margin, while cost overruns directly reduce profitability, as demonstrated by the financial provision required during the SARah deployment issue.

OHB's evolution from a specialized development shop into an industrial systems producer expands both margin potential and contract risk. Investors evaluating target margins must account for the company's pricing accuracy and execution discipline across fixed-price backlogs.

What the numbers have actually done. Performance in fiscal 2024 reflected significant non-recurring adjustments. Reported EBITDA decreased to €53.2 million from €162.1 million in 2023, while reported EBIT fell to €14.1 million from €125.0 million, driven by a project-related risk provision and expenses tied to a group-wide transformation programme.22 Adjusting for these items, underlying EBITDA rose to €111.1 million from €87.1 million in 2023.22 Annual order intake increased to €1,671 million from €920 million, and free cash flow came in at €148.1 million.22

Fiscal 2025 reflected the backlog conversion, with total revenue rising 21% to €1,247.6 million. Adjusted EBITDA reached €125.6 million and adjusted EBIT stood at €84.0 million, against reported EBITDA of €114.8 million and reported EBIT of €73.3 million. Net income reached €50.1 million, or €2.61 per share, supported by annual order intake of €2,078 million and an 87% increase in cash and equivalents to €220.6 million.19 The board proposed a dividend of €0.60 per share,19 which shareholders approved at the June 8, 2026 annual general meeting.2

The growth trajectory continued into the first quarter of 2026, with total operating performance expanding 15% to €279.3 million, revenue growing 18% to €270.9 million, adjusted EBITDA increasing 37% to €27.3 million, and adjusted EBIT rising 63% to €16.8 million. Net profit reached €9.9 million as the equity ratio improved to 29.7%.20 Half-year figures published on August 6, 2026 confirmed full-year guidance, reporting six-month revenues of €627.9 million, up 11%.2

What all of that actually means. These financial developments highlight three core structural conclusions.

First, the variance between reported and adjusted earnings is an inherent feature of complex aerospace manufacturing rather than isolated noise. In fixed-price prime contracting, technical adjustments and warranty provisions recur over multi-year project lifecycles. Consequently, reported figures reflect long-term net economic performance, while adjusted figures illustrate underlying operational momentum.

Second, backlog coverage has expanded substantially to roughly two and a half times annual revenue, offering multi-year revenue visibility. Revenue visibility, however, does not guarantee margin stability, as backlogs are booked at estimated contract prices and realized at actual execution costs.

Third, an equity ratio near 30% and improving, alongside strong 2024 free cash flow, indicates that balance sheet liquidity was not the primary constraint on growth prior to the mid-2026 equity raise. This financial baseline provides critical context when evaluating the rationale behind the subsequent €484 million capital increase.

VI. The KKR Buyout, Public-to-Private Shift & Delisting Dynamics (2023–2024) (14 Minutes)

On August 7, 2023, private equity firm KKR announced a strategic investment in OHB, launching a voluntary public takeover offer at €44.00 per share in cash through its investment vehicle Orchid Lux HoldCo S.à r.l.[^3] Reuters reported the launch of the tender offer that same day,3 the Financial Times framed the deal as a €1 billion takeover,23 and Bloomberg estimated the transaction's enterprise value at roughly $1 billion.24

The offer price represented approximately a 39% premium over the pre-announcement trading level, accompanied by KKR's commitment to subscribe to a separate 10% capital increase to support future growth.25 In a joint reasoned statement published on September 21, 2023, OHB's management and supervisory boards endorsed the transaction, describing the cash consideration as fair, adequate, and attractive while explicitly supporting the bidder's intention to pursue a delisting following completion.25

Why a family that had controlled a company for four decades sold a third of it.

Publicly, leadership framed the transaction as a strategic union of growth capital and long-term patience. Chief Executive Officer Marco Fuchs characterized KKR as an ideal minority investor aligned with OHB's strategic roadmap,4 while KKR partner Christian Ollig outlined a shared ambition to establish OHB as a European space champion supporting regional strategic autonomy.4 Fuchs had frequently contended that public equity markets systematically undervalued mid-tier space contractors, citing the structural volatility of space equities and the collapse of speculative space special purpose acquisition companies as evidence of market inefficiency.4

The underlying commercial thesis was straightforward: as capital requirements across the European space sector escalated, depressed public equity valuations provided an inefficient funding mechanism, whereas a private sponsor could finance multi-year industrial programs insulated from quarterly market pressures.

While that rationale offered a coherent strategic justification, minority shareholders had cause for skepticism. A public-to-private transaction executed at a 39% premium over an impaired share price provides genuine value only if the underlying baseline reflected true intrinsic worth. Because the controlling family partnered directly with the bidding consortium, the corporate governance structure presented inherent conflicts of interest during the evaluation and recommendation of the offer terms.

The deal that took a year to clear, and then didn't finish.

Regulatory reviews extended over a full year.
