2019: putting the halves back together

By the late 2010s, the rationale for maintaining separate northern and southern groups had diminished. On October 25, 2019, with State Council approval, the two parent entities executed a strategic merger to form 中国船舶集团 China State Shipbuilding Corporation Limited, officially registered on November 8, 2019, with registered capital of RMB 110 billion.[^14]14

However, this initial integration occurred only at the ultimate parent level. The primary listed subsidiaries—China CSSC (600150.SS) in the south and China Shipbuilding Industry Company (601989.SS) in the north—continued to operate and trade separately on the stock exchange. IV. The Mega-Merger: China CSSC (600150) Absorbs CSIC (601989)

In September 2024, both companies suspended trading ahead of the merger announcement. Under the proposed transaction structure, China CSSC (600150.SS) would issue new A-shares to acquire China Shipbuilding Industry Company (601989.SS), absorbing its operations and terminating its separate listing.

The deal, in mechanics

The share swap ratio was set at 1:0.1339, converting each CSIC share into 0.1339 China CSSC shares.1 Based on the relative market prices of the two publicly traded entities prior to the announcement, total transaction consideration reached approximately RMB 115.2 billion, marking the largest absorption merger in the history of China's A-share market.3

The approval path ran through a revised regulatory framework introduced by state authorities to facilitate corporate restructurings. The Shanghai Stock Exchange's merger and restructuring review committee cleared the transaction on July 4, 2025, and the China Securities Regulatory Commission granted registration on July 18, 2025. This made the deal the first absorption merger of listed companies completed under updated rules following Beijing's 2024 policy package known as the "Six Measures on M&A" (并购六条).1718 Trading in China CSSC shares resumed on August 19, 2025; CSIC's listing was terminated on September 5; the share registration certificate was issued on September 11; and the 3.05 billion newly issued shares listed on September 16, 2025.2119

Furthermore, because the merger closed just as high-margin contracts signed between 2022 and 2024 entered delivery schedules, the enlarged balance sheet captured an immediate expansion in earnings per share.

However, several structural caveats remain. Market-based swap ratios inherit any equity mispricing present at the time of announcement. Additionally, minority shareholders in transactions between sister subsidiaries of a common controlling parent exercise limited leverage over deal terms. Furthermore, a key asset insertion remains unfulfilled: 沪东中华造船 Hudong-Zhonghua Shipbuilding, the group's premier builder of membrane-type LNG carriers, remains outside the listed entity. Nearby in the dry dock, a very large crude carrier takes shape block by pre-assembled block. Instead, it eliminated a self-inflicted vulnerability—two state-owned sister conglomerates undercutting each other on international tenders—at the precise moment global demand surged and coordination yielded maximum pricing leverage. Executed during an industry slump, the merger might have amounted to little more than a corporate reshuffle. Executed as the cycle turned, it consolidated pricing discipline within a single listed vehicle. Technical execution is the moat that actually compounds. Relative labor cost advantages inevitably narrow as domestic wages rise, while dry dock slot scarcity is cyclical by definition. What resists erosion is accumulated manufacturing capability: the engineering precision needed to build membrane LNG containment barriers, integrate complex cruise ship systems, or deliver the twelfth hull of a series far more efficiently than the first.
