The transaction purchased a 10% equity stake: no operational control, no balance-sheet consolidation, no stated dividend policy, and merely a minority seat at a table that Huawei had built, owned, and continued to direct.1
The capital was disbursed across three installments over roughly fourteen months — RMB 2.3 billion in October 2024, RMB 5.75 billion in February 2025, and a final RMB 3.45 billion on October 9, 2025.1 In its first full year as a shareholder, Avatr booked RMB 182 million of equity income from the stake.2 Against an investment basis of RMB 11.5 billion, that represented an annualized return of roughly 1.6% — trailing the yield on a benchmark Chinese sovereign bond.
That single line item offers an entry point into the Changan narrative because it encapsulates the central paradox of the business. Here was a company whose corporate lineage stretched back to an 1862 imperial arsenal, whose controlling shareholder remained the Chinese state, and whose defining strategic initiative of the 2020s was writing the largest check in its corporate history for a passive minority holding in a technology supplier it could not govern.
Was that visionary strategic positioning, or a steep commercial toll payment?
The Paradox. By most operational benchmarks, Changan staged the most effective structural transformation among China's legacy state-owned automakers. The group delivered 2.913 million vehicles in 2025, recording its strongest sales volume in nearly a decade, with new energy vehicles surpassing 1.11 million units — a 51% year-over-year increase — and overseas shipments reaching 637,000 units.3 It achieved that volume growth while legacy peers such as 上汽集团 SAIC Motor and 东风汽车 Dongfeng Motor suffered steep contractions from the structural decline of their foreign joint ventures. Why an investor should care about a 19th-century gun foundry. Not for historical color, but for corporate structure. Changan's controlling equity sat inside China's defence-industrial complex for the entire modern era under China South Industries Group, until the July 2025 restructuring carved the automotive operations out into an independent central state-owned enterprise — with the State-owned Assets Supervision and Administration Commission remaining the ultimate controller throughout.7 Three structural realities stem from that lineage, and all three continue to govern capital allocation.
First, engineering capability is institutional. Heavy ordnance manufacturing requires specialized machine tools, captive foundries, and advanced metallurgy. Changan's subsequent capacity to develop proprietary internal combustion engines in-house, at a time when most domestic peers were purchasing licensed Mitsubishi engine blocks, drew directly from that legacy manufacturing base.

Third, capital deployment operates within a state administrative hierarchy. Changan cannot unilaterally decide to invest RMB 11.5 billion for a minority stake in a Huawei subsidiary; such commitments require multi-tiered approvals that public minority shareholders cannot observe or influence.
Military-to-civilian conversion. Following 1949, the factory was integrated into the planned economy. In 1958, it assembled the 长江牌46型吉普车 Changjiang Type 46 Jeep, one of China's earliest domestically built off-road vehicles — functioning as an industrial demonstration piece rather than a viable commercial line. The decisive operational pivot occurred during 邓小平 Deng Xiaoping's economic reforms, when defence factories were instructed to generate civilian cash flow or face liquidation. Changan's solution in 1984 was a technology licensing agreement with Japan's スズキ Suzuki to manufacture mini-trucks and 微面 microvans.6 It proved to be an effective market entry. For roughly fifteen years, the baseline investment thesis on Changan was clear: an entrenched, low-cost assembly franchise supplying entry-level commercial utility across inland China, supported by low regional labor rates, depreciated stamping equipment, a captive rural distribution network, and proven mechanical designs supplied by Suzuki.
Historical falsification: the Suzuki trap. That commercial thesis eventually eroded, and the group's financial record shows how the model unraveled.
The breakdown was driven not by direct microvan competition, but by rapid consumer migration. As Chinese household disposable incomes rose through the 2000s and 2010s, entry-level vehicle buyers migrated from utilitarian microvans to compact sedans and C-segment crossovers. The illusion of dominance. Public equity markets treated Changan during this period as a high-yielding pass-through vehicle for Ford's intellectual property in China. Domestic asset managers valued the company almost entirely on its joint-venture equity income, treating proprietary manufacturing assets as secondary noise. Development risk was largely omitted from valuation multiples because Changan bore none of the core platform research and development expense.
Management responded by deploying capital into additional joint ventures. In 2011, it established 长安标致雪铁龙 Changan PSA (CAPSA) to manufacture the premium DS brand in China. Between 2016 and 2019, Ford's localized product cadence stalled. Compounding that lag, widespread customer complaints regarding dual-clutch transmissions and suspension components degraded brand reputation in a market where digital social channels outpaced traditional dealership service response. Changan Ford's delivery volume collapsed to between 180,000 and 200,000 units by 2019 — a decline of roughly 80% from its peak.6 The equity income line that had underpinned group earnings plunged from an annual contribution of nearly RMB 9.5 billion into an outright operating loss.

That dynamic does not constitute a competitive moat. It represents operating leverage applied to product planning decisions made in Dearborn, Michigan.
By 2019, the erosion of joint-venture cash flows forced Changan to confront that vulnerability directly.
IV. The JV Cliff & The Near-Death Reckoning (2017–2020) (01:18:00 – 01:48:00)

While China's broader passenger-vehicle market contracted in 2018 and 2019, it did not decline by 80%. Changan's breakdown was acute because the economic asset generating group profits was an external vehicle line it did not own and could not control.
There was a second, less recognized operational consequence. When joint-venture volumes fell by four-fifths, the physical factory footprint remained. Management opted to deploy capital regardless.

The 香格里拉计划 Shangri-La Plan, unveiled in October 2017, established the electrification roadmap with a headline capital budget of RMB 100 billion. The 北斗天枢计划 Dubhe Plan, introduced in August 2018, directed intelligent driving, advanced driver-assistance systems, and smart-cockpit software. The 海纳百川计划 Vast Ocean Plan, launched in April 2023, outlined international manufacturing and export expansion.

That communication style is standard practice among Chinese central state-owned enterprises, and it inherently complicates executive accountability. The primary analytical test is not whether the strategic vision appears coherent on paper, but whether specific, verifiable performance milestones were met.
Historical falsification: the Shangri-La ICE deadline. One central commitment was explicitly measurable. In the initial 2017 announcement, Changan pledged to phase out sales of traditional internal combustion engine vehicles entirely by 2025.
That target was not achieved. Conventional combustion and hybrid models — including the CS75 Plus, CS55 Plus, and UNI-V — continued to generate the majority of group delivery volume through 2024 and 2025, providing the operating cash flows required to absorb ongoing new-energy vehicle losses. Automotive manufacturers that dogmatically dismantled profitable combustion platforms on an arbitrary transition timetable destroyed the cash flows required to finance electric vehicle development. Changan's willingness to sustain combustion volume generated the underlying liquidity that allowed Deepal and Avatr to scale.
The calibrated conclusion is that while this episode falsifies the credibility of Changan's electrification timelines, it affirms management's operational pragmatism. Those are distinct variables that warrant different valuation discounts: long-dated strategic forecasts should be heavily discounted, while the organizational flexibility to adjust course when commercial conditions dictate remains intact.
The critical strategic question is what Changan constructed with the operating runway that pragmatism secured.
V. The Product Renaissance: Blue Core, UNI, and the Domestic Cash Engine (01:48:00 – 02:18:00)

Developing proprietary engine architectures altered Changan's unit economics and technical independence. Crucially, it also laid the engineering foundation for the extended-range electric vehicle (EREV) powertrains that would later anchor Deepal and Avatr. Mechanically, an extended-range vehicle pairs an electric drivetrain with a dedicated, highly efficient internal combustion engine functioning as an onboard generator. The own-brand portfolio successfully replaced the joint ventures' unit volume and top-line revenue, but it failed to match their profitability. In 2016, joint-venture equity earnings propelled group net income past RMB 10 billion on roughly three million total deliveries. Owning proprietary vehicle platforms requires absorbing ongoing, non-discretionary development cycles across economic downturns. Switching costs: low. As detailed above, nothing within Changan's hardware or software architecture meaningfully locks a retail consumer into the brand ecosystem when replacing a vehicle.
Branding: nascent and fragmented. Changan's brand equity is evolving along divergent tracks. The parent badge remains anchored to utilitarian value and accessible engineering. Deepal has cultivated credible resonance among younger demographic cohorts. Avatr's luxury credentials, while visually differentiated, remain economically unproven and vulnerable to competitive repricing. Benchmarked against Tesla, the German luxury marques, or BYD's domestic stature, Changan's brand equity commands limited pricing power.
Cornered resource: moderate and transitory. Preferential collaboration with Huawei and CATL affords Changan early access to advanced driver-assistance platforms and battery chemistry. Yet priority access is not exclusivity: Yinwang's foundational charter is to operate as a horizontal Tier-1 supplier across the broader automotive sector, inherently dispersing the asset.
Process power: the enterprise's primary durable advantage. Four decades of manufacturing discipline assimilated from Suzuki, Ford, and Mazda, combined with rapid engineering cycles that shortened vehicle development from thirty-six months to eighteen to twenty-four months, constitute an institutional capability that cannot be quickly duplicated. Changan manufactures vehicles with high structural efficiency, reliable assembly tolerances, and rapid market responsiveness.
The synthesis. Evaluated through these strategic frameworks, Changan commands one robust power (process discipline), one developing asset (brand segmentation), one temporary operational advantage (preferred technology access), and four weak or absent structural moats.
That profile characterizes an agile, capable operator navigating an exceptionally punishing market structure. It does not describe a corporate compounder shielded by an unassailable economic moat.
Whether that operating profile presents a viable investment thesis depends on the final variable in the enterprise equation: the corporate governance model directing capital allocation, and the political and commercial incentives governing executive leadership.

Zhu Huarong was born in Chongqing in March 1965 and graduated in 1986 from the vehicle engineering department of the Beijing Institute of Technology — an institution with deep roots in China's defence-industrial complex. He appears regularly at industry conferences and on domestic social media, articulates unvarnished forecasts regarding sector consolidation, and has publicly acknowledged corporate missteps — including the company's initial overestimation of pure battery-electric adoption that necessitated the mid-course pivot to range extenders.
An executive's willingness to acknowledge tactical errors provides genuine analytical utility. Management teams that never concede strategic misjudgments are far harder to underwrite, as investors cannot easily separate operational plans from promotional disclosures.
Yet that transparency must be weighed against Changan's corporate forecasting record, where execution has consistently diverged from guidance. As noted, the 2017 pledge to eliminate internal combustion engine sales by 2025 was quietly set aside without a formal retraction. Group delivery targets have routinely outpaced actual sales. The corporate goal of five million annual vehicle deliveries by 2030 requires sustained double-digit compound expansion from a sales base that contracted roughly 17% year-over-year in the first half of 2026.10 Furthermore, in April 2026, Zhu announced a strategic integration of Avatr and Deepal, targeting a combined 1.5 million units by 2030 — one million for Deepal and 500,000 for Avatr — with completion expected by year-end 2026 and shared-resource cost savings of 20% to 30%.2728

Viewed constructively, the decision demonstrates organizational flexibility. Viewed critically, it represents an administrative correction to a multi-brand strategy that proved too expensive to sustain independently.
The SOE paradox and capital allocation. Changan operates under a dual mandate that private competitors do not carry. While the July 2025 restructuring elevated the group into a standalone central state-owned enterprise, it did not alter its governing incentives: the State-owned Assets Supervision and Administration Commission remains the ultimate controlling authority, with China Changan Automobile Group holding approximately 35% of the listed company's equity.7 Crucially, the new group was chartered with a mandate that extends far beyond passenger vehicles, directing resources into low-altitude flight, embodied artificial intelligence, and humanoid robotics — with more than RMB 20 billion budgeted for the low-altitude economy over five years and over RMB 100 billion committed to integrated land-sea-air mobility across a decade.2930
For a business generating roughly RMB 2.8 billion in underlying annual operating profit, allocating capital toward flying vehicles and humanoid robotics illustrates the classic conglomerate diversification pattern that fundamental investors treat with caution. These represent policy-guided frontier expenditures in speculative categories lacking near-term commercial viability. Changan's track record of translating long-dated technical roadmaps into sustainable commercial returns — evident in the revised Shangri-La timelines and the liquidation of Changan Ford New Energy — does not warrant generous conversion assumptions.
Incentive design and return hurdles. To align management incentives, Changan implemented restricted A-share equity incentive programs covering more than a thousand technical and managerial staff. The 2020 program, which granted 78.9 million shares to 1,292 participants, is particularly revealing: it conditioned vesting on compound net profit targets and return on equity hurdles of 1.7% for 2021, 4.8% for 2022, and 5.5% for 2023, alongside the requirement that performance not fall below industry averages or the 75th-percentile benchmark group.31
A return on equity hurdle of 1.7% does not represent a demanding performance benchmark; it functions as an operational floor set marginally above zero. The structure rewards capital preservation and solvency rather than aggressive value creation. While the peer-relative condition provides partial discipline, an activist shareholder would note that Changan's incentive mechanisms reflect an enterprise designed to prioritize operational continuity over equity returns — precisely the governance dynamic associated with state stewardship.
The defining governance question is not whether Zhu Huarong is a capable industrial operator. The empirical evidence demonstrates that he is. The critical issue is whether an experienced operator bound within a central state-owned enterprise — carrying employment mandates, regional economic responsibilities, and industrial-policy directives, while evaluated against low hurdle rates — can consistently allocate capital in the interest of public minority shareholders.
That tension forms the core of the enterprise's investment thesis, leading directly to the final underwriting evaluation.
XI. The Investment Spine: Bull vs. Bear Case & Key KPIs (04:35:00 – 05:00:00)
The core thesis, stated neutrally. Changan is a competently managed legacy automaker that generates cash from combustion and hybrid volume, finances an electrification transition that has achieved substantial volume but little underlying profit, expands into higher-margin export markets faster than most domestic peers, and has purchased a minority position in China's leading automotive intelligence platform whose long-term economic return remains unproven.
Every argument across the bull and bear cases below is a function of how much weight an investor assigns to each of those four clauses.
The bull case.
The overseas margin expansion is operational and verifiable. This represents the strongest pillar of the positive thesis because it rests on audited operating results rather than corporate projections: overseas gross margins roughly five percentage points above domestic sales, 637,000 export units in 2025, and 35% growth in the first half of 2026 during a period when total domestic delivery volume contracted sharply.39 The Rayong plant in Thailand is assembling and exporting vehicles. If Changan converts its early export footprint into enduring local brand equity before foreign tariffs and domestic rivals erode the pricing gap, group margins could re-rate structurally.
The extended-range propulsion architecture matches consumer adoption patterns. Range-extended electric vehicles deliver meaningful battery range for routine urban commuting while an onboard internal combustion generator removes range anxiety on highway travel. That pairing has aligned with consumer preferences across China's lower-tier municipalities, and Changan's captive Blue Core engine engineering made it an efficient producer. Delivery volumes across both Deepal and Avatr inflected upward once management broadened their lineups beyond pure electric models.
The Yinwang stake provides structural optionality. If Yinwang's commercial customer roster broadens across Seres, Chery, JAC, Dongfeng, and peer automakers, a 10% equity holding in the shared digital and autonomous-driving layer of China's automotive industry becomes a valuable financial asset, independent of Avatr's standalone vehicle margins.
Underlying operating discipline improved even as headline profit fell. The 44% drop in 2025 reported net profit was driven largely by non-recurring items contracting from RMB 4.73 billion to RMB 1.28 billion — primarily reflecting reduced asset-disposal gains and government subsidies that declined by roughly half. Deducted operating profit rose 8% and overall gross margin expanded to 15.54%, with the fourth quarter reaching 16.8%.3 Headline earnings contracted, but core manufacturing quality showed marginal improvement.
The bear case.
Performance in the first half of 2026 deteriorated sharply. Group delivery volume contracted 17.44% year-over-year to 1.1189 million units.10 Revenue reached RMB 65.63 billion while net profit attributable to shareholders dropped 64.3% to RMB 817 million — although management attributed much of that earnings compression to lower foreign exchange gains, stating that excluding currency fluctuations underlying operating profit expanded 12%.9 Automotive gross margin stood at 14.50%, essentially unchanged from the prior-year period.32
Negative operating cash flow signals escalating working-capital pressure. Operating cash flow was negative RMB 11.41 billion in the first half of 2026, widening from negative RMB 8.61 billion in the prior-year period — after full-year 2025 operating cash flow had already dropped 62% to RMB 1.84 billion.323 For an industrial enterprise carrying heavy fixed manufacturing assets and multi-year capital expenditure programs, consuming operating cash at that magnitude leaves the business reliant on external debt financing, liquidity buffers, and supplier payment cycles rather than self-sustaining operations.
Proprietary new-energy brands remain structurally unprofitable. Deepal and Avatr have absorbed tens of billions of yuan in cumulative operating losses since their inception,33 and while both brands narrowed deficits in 2025, neither has proven a path to sustained operating profitability amid persistent retail price competition. Avatr's deliveries fell roughly 54% year-over-year during the first five months of 2026 to approximately 20,160 units, and corporate filings indicated it could incur another annual net loss for 2026.2 Its initial Hong Kong public offering prospectus lapsed on May 27, 2026 and was refiled on June 30 — a capital event that would raise outside equity funding while subjecting Avatr's stand-alone economics to quarterly public disclosure.234
The Huawei relationship creates a commoditization trap. The structural dynamic remains unresolved: Yinwang's success as a horizontal software supplier depends on universal adoption across competing automakers, which directly erodes the product exclusivity and brand differentiation Avatr requires to justify premium retail pricing.
Speculative capital allocation dilutes core focus. Long-dated multi-billion-yuan capital commitments toward low-altitude flight, embodied intelligence, and humanoid robotics represent unhedged conglomerate spending for an automaker generating under RMB 3 billion in underlying annual operating profit.
Management's defense warrants empirical verification. Changan publicly pushed back against circulating market reports of an acute sales collapse in early 2026, maintaining that volume declines reflected an intentional decision to eliminate low-margin, unprofitable vehicle lines in favor of pricing discipline and mix quality.35 While that explanation aligns with regulatory calls to curb industry price wars, it is also the standard narrative an automaker provides when retail demand softens. Investors can evaluate that assertion directly through upcoming earnings releases: if mix optimization is genuine, realized average revenue per unit and gross margins must expand as volumes contract. If unit margins fail to rise alongside falling volumes, the contraction stems from weakening underlying demand.
The three KPIs that matter.
1. Own-brand new-energy monthly run-rate paired with realized average selling price. Unit volume alone provides little analytical clarity in a retail market where market share can be purchased through dealer discounts and factory subsidies. The decisive operating signal is whether Nevo, Deepal, and Avatr can expand unit deliveries while defending or raising realized selling prices. If unit sales expand while average transaction prices contract, Changan is subsidizing volume; if both metrics rise concurrently, brand equity is taking root.
2. Automotive gross margin and underlying operating profit per vehicle. Changan's consolidated automotive gross margin has hovered in the mid-teens. The fundamental test is whether expanding international shipments and higher-priced electrified models can elevate gross margin durably above that corridor — and whether core operating profit per vehicle increases. Net profit per unit excluding non-recurring items provides the cleanest measure of whether enterprise transformation is creating economic value rather than simply reallocating revenue across corporate segments.
3. Overseas shipment volume evaluated alongside overseas gross margin. International delivery growth represents Changan's most reliable operational trend, but its gross margin premium is what generates shareholder value. If export deliveries continue expanding while overseas gross margins compress toward domestic mid-teen levels, internationalization will have evolved into another volume-for-price concession rather than a durable pool of economic profit.
Three auditable indicators. Each falsifiable within a single financial reporting cycle. Each capable of validating or breaking a central pillar of the investment thesis.
XII. Epilogue & Takeaways (05:00:00 – 05:12:00)
There is a reading of the Changan narrative that frames it as an unqualified industrial triumph: an imperial arsenal that survived two world wars, a revolution, a planned economy, and a joint-venture boom and bust, emerging as an equity partner to China's most formidable technology firm. That interpretation is not entirely false, but it remains incomplete in the way flattering corporate histories usually are.
A more rigorous assessment reveals a recurring structural vulnerability alongside two hard-won operational lessons.
The primary lesson: an automaker cannot outsource the core layer of customer value. Changan experienced this reality twice at immense financial cost. With Suzuki, it honed assembly discipline in an entry-level segment whose buyers migrated upscale, discovering that manufacturing efficiency without proprietary platform capability transfers nowhere. With Ford, it generated the largest profit stream in its history from vehicle architectures it did not engineer, watching that income evaporate within three years due to product-cadence decisions made on another continent. In both instances, Changan carried the factories, the workforce, the franchised dealerships, and the regional employment obligations — while renting the intellectual property that generated the economic rents.
The Third Entrepreneurial Venture represented an operational decision to stop renting. Blue Core engines, the UNI series, Deepal, and Nevo required substantial capital outlays and sustained initial operating losses. Yet they also created the first automotive assets in Changan's modern history that belonged to the enterprise economically rather than through a temporary licensing agreement.
The central strategic question is whether the Huawei partnership repeats that historical pattern in a more sophisticated corporate wrapper. Changan does not control the intelligent software and computing layer of its premium nameplates. It holds a 10% minority equity interest in the entity that does — without operational governance, without technical exclusivity, and alongside a partner licensing identical capabilities to direct domestic competitors. Acquiring an equity stake provides a defensive hedge against vendor deprioritization, but it remains fundamentally distinct from proprietary technical ownership.
The second lesson: operational pragmatism supersedes rigid transition timelines. Changan committed to phasing out internal combustion engine sales by 2025 and quietly abandoned the target when commercial conditions dictated. That flexibility preserved the enterprise. The legacy manufacturers navigating China's automotive transition successfully are those that maintained profitable combustion and hybrid cash flows to finance new-energy development, while aligning product portfolios with consumer realities — which, across lower-tier domestic markets, favored extended-range powertrains over pure battery-electric vehicles.
That pragmatic flexibility remains management's most dependable operational asset. Yet it exists in persistent tension with an administrative target-setting culture that generated the unfulfilled 2025 combustion phaseout, Avatr's early delivery shortfalls, and the ambitious five-million-unit target for 2030. The enterprise regularly pairs aspirational corporate milestones with quiet operational recalibrations.
For public equity investors, that duality defines the underwriting approach. Changan's forward-looking strategic projections cannot be evaluated at face value. Instead, the historical record demonstrates that executive decision-making under commercial stress has consistently been more disciplined than its promotional guidance suggests. Fundamental analysis requires heavily discounting corporate targets while underwriting demonstrated operational adaptability.
An imperial gun foundry established to defend a collapsing dynasty has evolved into a state-owned automotive group seeking an enduring foothold in the intelligent vehicle era. Whether that transition succeeds will not be determined by strategic roadmaps or five-year plans. It will be decided by operating margins, free cash flow generation, and whether overseas buyers continue to purchase the vehicles in volume.
