The mine was 银漫矿业 Yinman Mining in 西乌珠穆沁旗 West Ujimqin Banner. Its parent company, Shenzhen-listed 兴业矿业 Inner Mongolia Xingye Mining, relied on Yinman as its primary profit engine and main collateral behind an M&A expansion that had left both entities heavily indebted. Within 24 hours of the disaster, regulators shut down the mine and seized its production safety licence. Within six months, creditors forced the controlling shareholder into court-supervised bankruptcy restructuring. An official investigation held 63 people accountable.30 Revenue at the listed company fell 64% that year.22

Seven years later, the rebranded company — 内蒙古兴业银锡矿业股份有限公司 Inner Mongolia Xingye Silver & Tin Mining Co., Ltd. — reported first-half 2026 revenue of ¥4.282 billion and net profit attributable to shareholders of ¥2.263 billion, up 184% year on year, with a gross margin of roughly 69%.1 It now stands as China's largest producer of mined silver, holding Asia's largest single silver deposit on its balance sheet alongside the second-largest tin resource base among listed Chinese companies.8 In May 2026, it filed for a secondary listing in Hong Kong at a market capitalisation exceeding ¥74 billion.8

That represents a striking financial turnaround. Upon inspection, however, the corporate narrative is more complex than a simple redemption story. On July 26, 2026, another worker was killed in an underground section at the 750-metre level of the same Yinman mine. Within four days, regulators ordered a complete shutdown across mining, processing, and tailings systems. The company informed investors it could neither determine how long the suspension would last nor estimate the impact on full-year results.27 It was the fourth fatal accident at Yinman in a decade.6

This episode is not a story about a company that fixed itself. It is a story about a company that fixed its economics — spectacularly — while its central operational vulnerability proved far more stubborn. Three primary threads run through it.

The first is geology. The 大兴安岭 Great Khingan metallogenic belt in eastern Inner Mongolia ranks among the world's richest polymetallic zones for silver, tin, lead, and zinc. In mining, ore grade dictates economics: when a deposit carries high concentrations of multiple metals, by-products cover primary extraction costs, yielding metal output at exceptionally low net cost. That geological reality underpins the company's cost structure, explaining gross margins that would look anomalous in almost any other industry.

The second thread is structural fragility. A combination of debt-funded acquisitions, aggressive production targets, and an outsourcing model known in Chinese regulation as 以包代管 — "management by subcontracting," where operational control is handed to a contractor while the owner keeps only administrative paperwork — created a single point of failure that took roughly two and a half years to repair.29

The third thread is the turnaround itself: a court-supervised restructuring of the parent company, a rescue package from 中国信达 China Cinda that preserved founder control, a metallurgical overhaul that raised tin recovery from around 50% to roughly 70%, and a ¥2.388 billion acquisition in December 2024 that nearly tripled the company's silver reserves.410

A fourth thread colors the entire picture: the market has already noticed. Silver was trading around US$30 an ounce when the company announced its transformational silver acquisition in December 2024, and rose sharply from there; during a single 16-session stretch in early 2026, the company's market value climbed by roughly ¥50 billion.9 An unhedged producer with a largely fixed cost base acts as a leveraged play on metal prices, meaning a substantial share of the earnings growth since 2024 is pure commodity price arithmetic rather than operational achievement. Disentangling price momentum from volume expansion and metallurgical engineering is the central analytical task, and company disclosures make that separation possible.

Three myths worth clearing first. The consensus narrative surrounding the company has hardened faster than the facts, making three widely circulated claims worth addressing before tracing the story.

First, the silver franchise was not built through a single visionary strategy during the mid-2010s pivot. The tin-silver asset and the primary silver asset were acquired eight years apart under opposite balance-sheet conditions, and the second purchase occurred only because a rival listed company decided to sell. Second, the 2019 catastrophe did not trigger an immediate reported net loss. The company posted a small profit for 2019 by selling subsidiaries, with the full loss landing in 2020.22 Third, the post-crisis company is not a deleveraged, fully de-risked operator. Leverage fell, but the same period brought billions of renminbi in new acquisitions, a declining dividend payout ratio, and two regulatory production halts at the flagship mine within eighteen months.46

None of these corrections diminish the scale of the business. Rather, they establish a clear distinction between headline financial performance and underlying operational reality.

The trajectory runs from a steel-shot factory in 赤峰 Chifeng to a backdoor listing, through an M&A expansion and its fallout, into the wreckage of 2019, and onward to today's silver-and-tin franchise — leading to the broader questions of whether its competitive moat is as durable as reserve tables suggest, and what the July 2026 shutdown reveals about management's long-term commitments.


II. Regional Metallurgy & The Backdoor Listing

Drive north out of Chifeng and the landscape flattens into rolling grassland, punctuated by the low, weathered hills of the southern Great Khingan Range. Geologically, it is one of the richest accidents on the Eurasian landmass: a Mesozoic magmatic belt where hydrothermal fluids repeatedly injected silver, tin, lead, zinc, copper, and antimony into fractured host rock over tens of millions of years. Chifeng calls itself 中国有色金属之乡 — "China's home of non-ferrous metals" — and the designation reflects actual geology rather than regional promotional flair.4

For most of modern Chinese industrial history, the operational bottleneck was not geology but fragmentation. Through the 1980s and 1990s, hundreds of small private and township operators worked the eastern Inner Mongolian mineral belt using shallow open pits and crude underground workings. Operating with minimal capital and primitive metallurgy, their safety practices ranged from sparse to non-existent. Although the ore was high-grade, processing recoveries were poor, leaving millions of tonnes of valuable metal behind in tailings dams.

This historical backdrop directly shapes the modern investment case. Ore grade is the single structural variable in mining that management cannot engineer, negotiate, or outspend. Throughput, recovery rates, labor, energy, and financing costs are all accessible to any well-capitalized competitor. Grade, however, belongs strictly to the licence holder of the host rock. When a mineral deposit yields silver at well over one hundred grams per tonne alongside percentage-level tin concentrations, the consolidator inherits a baseline cost structure that operational excellence alone cannot replicate. The central analytical question is whether a company can preserve an advantage bestowed entirely by geology.

Consolidating this fragmented landscape presented the initial corporate opportunity, taken up by founder 吉兴业 Ji Xingye. His entry into metals was modest: in 1991, he established 赤峰晶新钢丸厂 Chifeng Jingxin Steel Shot Factory to produce abrasive metal shot.4 While steel shot manufacturing sits far from precious metals mining, the business granted Ji a foothold in the local industrial economy. Between 1996 and 2000, he moved upstream into primary extraction by acquiring stakes in the 大新铅锌矿 Daxin lead-zinc mine and neighboring deposits. In 2001, these holdings were consolidated as 兴业集团 Inner Mongolia Xingye Group, establishing non-ferrous and precious metals mining and processing as its core operations.4

Unlike executives appointed by state-owned enterprises, Ji built a founder-controlled private group by spending three decades acquiring local mining licences. In a January 2026 interview, Ji described the company's trajectory as moving "from a difficult startup to rebirth after the market's trials."9 This founder-led structure is critical for evaluating the business: the pace of later acquisitions, the high tolerance for debt, and the insistence on retaining family control through bankruptcy restructuring all stem from its origins as a private entity competing in an industry dominated by state-owned miners.

During the 2000s, access to public equity remained severely restricted. China's IPO queues were administratively rationed, with review timelines spanning years. A private mining firm from a remote autonomous region operating unglamorous base-metal assets had little prospect of securing a direct listing. This capital constraint dictated the group's corporate structure, explaining how a company holding high-grade mineral reserves ultimately accumulated a fragile balance sheet.

The shell. By 2011, project capital needs outstripped private financing capacity while the domestic IPO queue remained jammed. Management adopted the standard alternative: 借壳上市, or a backdoor listing into a listed shell. The target was 富龙热电 Fulong Thermoelectric, a Shenzhen-listed municipal heating and power utility that had traded publicly since August 1996.8 In 2011, Fulong executed a major restructuring, divesting its district heating and utility operations to acquire non-ferrous and precious metals mining, processing, and smelting assets.4

The asset injection was substantial. 兴业集团 transferred 锡林矿业 Xilin Mining, 融冠矿业 Rongguan Mining, 巨源矿业 Juyuan Mining, and 富生矿业 Fusheng Mining into the listed entity, which was renamed 兴业矿业 Xingye Mining in 2012.4 The public vehicle emerged as a mid-tier regional base-metals producer focused primarily on iron ore, zinc, and lead, with silver functioning merely as a secondary accounting item. Rongguan contributed iron ore and zinc capacity, while Xilin provided zinc. At listing, the company possessed operating scale and mining licences, but lacked a distinct competitive moat.

This initial positioning highlights the strategic dilemma management faced. In iron ore, global benchmark pricing is dictated by seaborne majors like Vale, Rio Tinto, and BHP shipping from Australia and Brazil at unit costs an inland Inner Mongolian miner cannot match. Similarly, zinc remains a deep, liquid commodity market where small regional producers exert zero pricing power. As a price-taker producing a negligible fraction of global supply, the company operated with a cost structure exposed to external commodity cycles.

While the backdoor listing provided equity access, it created structural complications. The transaction forced the acquirer to absorb legacy shell liabilities, including an inherited shareholder base. Legacy parent 赤峰富龙公用(集团)有限责任公司 still held a 3.46% stake as of the first quarter of 2025, fourteen years after the reverse merger.4 More crucially, the transaction generated no new cash capital; it simply converted private assets into publicly traded shares that could be pledged for debt — setting up the aggressive leverage that followed.

Subsequent smaller deals reflected a company searching for higher-margin reserves: acquiring a 51% stake in 亿通矿业 Yitong Mining for ¥2.55 million in May 2013, 100% of 唐河时代矿业 Tanghe Shidai Mining for ¥120 million in September 2014, and 100% of 荣邦矿业 Rongbang Mining for ¥36.65 million in October 2015.4 These represented tactical asset additions rather than a unified strategic pivot.

Crucially, almost every core asset in the portfolio was an underground operation or destined to become one. Underground mining requires heavy upfront capital, lengthy development cycles, and continuous subterranean infrastructure buildout — driving shafts, haulage ways, and ventilation systems deep into the rock face before ore can be extracted. Unlike open-pit mining, which offers operational flexibility, underground development demands strict adherence to engineering constraints. A management team accustomed to consolidating shallow, straightforward deposits was preparing to operate complex underground systems at scale.

The transformational pivot arrived in 2016 — bringing with it risks that nearly bankrupted the business.


III. The M&A Binge & Assembling the Crown Jewels

The insight was correct. That is the uncomfortable truth about what happened next.

In the mid-2010s, management concluded that the company could not build its future on iron ore and zinc. The answer was to move up the value curve into metals where scarcity, rather than scale, dictates price: silver and tin. Silver is a precious metal with expanding industrial applications in photovoltaic pastes, electronics, and brazing alloys, but its supply base remains overwhelmingly a by-product of lead, zinc, and copper extraction—meaning silver supply responds to base-metal economics rather than silver prices. Tin is smaller and even tighter: annual global consumption is around 380,000 tonnes, over half of it used as solder in electronics with virtually no substitute at scale, and its production is concentrated in a handful of jurisdictions facing aging mines and political volatility.

For a company operating on the Great Khingan belt, this was no abstract thesis. The orebodies beneath eastern Inner Mongolia contain these exact metals together in rich single deposits.

The 2016 deal. In 2016, the company acquired 100% of 银漫矿业 Yinman Mining for ¥2.41 billion, alongside 100% of 乾金达矿业 Qianjinda Mining for ¥982 million and 100% of 天通矿业 Tiantong Mining for ¥116 million.4 Yinman was the flagship asset and remains, a decade later, the central profit driver of the business.

What makes Yinman unusual is its metallurgical complexity. It is one of the rare Chinese deposits where tin and silver serve as the primary economic drivers, with lead, zinc, copper, and antimony extracted as co-products and by-products. The mine operates two distinct processing circuits—one for lead-zinc and another for copper-tin—fed from three separate orebody zones. The tin grade in the copper-tin system averages roughly 0.7%—about ten times the copper grade of a typical porphyry copper deposit—while silver grades in the primary zones run between 184 and 185 grams per tonne.4 Those deposit characteristics generated virtually all the high-margin cash flow that subsequently transformed the company.

The physical nature of the orebody explains why it attracted such high capital expenditure. The 白音查干 Baiyinchagan tin-polymetallic deposit sits in the southern segment of the Great Khingan belt, roughly 90 kilometres west of Balagaer Gaole in West Ujimqin Banner. Divided into three main zones, Zones I and IV carry primarily lead, zinc, and silver, while Zone III holds the tin, copper, zinc, and silver that drive current operations. Published resource estimates put contained tin at 223,400 tonnes at an average grade of 0.755%, zinc at 752,900 tonnes at 3.22%, lead at 150,800 tonnes at 1.60%, silver at 9,446 tonnes at 187.46 grams per tonne, and copper at 28,000 tonnes at 0.521%—with the tin and zinc reserves both qualifying as large-scale deposits under Chinese national standards.31

This was not a mine discovered by accident. Founded in 2005, Yinman Mining began systematic exploration in December 2007, accumulating ¥515 million in exploration expenditures before proving up the deposit—an extraordinary sum for a private developer, leading contemporary industry reports to describe it as the largest silver-polymetallic reserve ever delineated in China.37 Phase I mine development required approximately ¥1.089 billion in capital to achieve a design processing capacity of 5,000 tonnes of ore per day, with a planned Phase II expansion budgeted at ¥1 billion to double capacity to 10,000 tonnes per day.37 In acquiring Yinman in 2016, the company purchased a purpose-built asset—and assumed the obligation to continuously fund its expansion.

A note on the record. Popular accounts of the company's rise often compress two distinct acquisitions into a single narrative. The 双尖子山 Shuangjianzi silver-lead deposit—frequently cited as the largest single silver deposit in Asia—was not part of the 2015–2018 M&A wave. It belonged to 赤峰宇邦矿业 Chifeng Yubang Mining, which was controlled by rival listed producer 国城矿业 Guocheng Mining until December 2024.10 The company assembled its present silver franchise through two separate transactions eight years apart, executed under vastly different balance-sheet conditions. Conflating them creates an illusion of long-term strategic foresight that the historical record does not support, while obscuring how close the 2016 M&A binge came to destroying the firm.

The valuation question. The purchase price was not paid entirely in cash. The acquisition was structured as a combination of share issuance and cash for Yinman's equity, backed by an independent appraisal filed with the Shenzhen Stock Exchange in February 2016 and vetted through standard regulatory review by the 中国证券监督管理委员会 China Securities Regulatory Commission.41 This structure diluted equity holders and meant the vendors—the controlling shareholder group—received a substantial portion of their payout in listed equity, which explains why regulatory frameworks required explicit earnings guarantees.

Whether ¥2.41 billion represented a fair price depended on those earn-out commitments. The vendor group pledged that Yinman would generate net profits of at least ¥366 million in 2017, ¥464 million in 2018, and ¥464 million in 2019. Yinman failed to achieve the cumulative three-year earnings target, and subsequent company filings show that the committed parties, including 兴业集团, failed to fully settle the resulting compensation obligations.21

That missed commitment provides essential historical context for evaluating management forecasts. An earn-out commitment represents management placing an explicit value on its operational projections and agreeing to forfeit capital if those targets fall short. In this case, the earnings target was missed and the shortfall compensation was not fully paid. Subsequent corporate projections—such as reaching 450 tonnes of annual silver output from an expanded Yubang or doubling Yinman's throughput via Phase II—must be evaluated against this history of unfulfilled targets and unsettled make-goods.

This dynamic reflects a broader structural risk common to Chinese mid-cap M&A during that era. Regulatory profit guarantees were designed to protect minority investors by forcing vendors to back appraisal values with cash. In practice, when the vendor is also the controlling shareholder, the arrangement creates a circular incentive. The party guaranteeing the earnings controls the underground mine, appoints its operational management, and faces direct financial liabilities if production lags. What appears on paper as shareholder protection becomes intense operational pressure at the mine face.

The financing. The company financed its acquisition drive through heavy bank debt, short-term borrowings, and equity placement. The listed entity's debt-to-asset ratio remained in the low-to-mid 40% range through 2017 and 2018, before rising toward 44.6% in 2020 as revenue plummeted.4 Even more dangerous was the leverage accumulated at the parent level. 兴业集团 pledged its equity holdings to secure debt, building a fragile capital structure that required Yinman to hit every operational target on schedule.

That strategic leverage quickly translated into operational risk. Meeting aggressive profit guarantees at a complex underground polymetallic deposit requires moving high volumes of ore rapidly, often before supporting underground infrastructure is fully matured. The commercial pressure creates a strong incentive to prioritize short-term extraction over development discipline—deploying more underground work fronts, bringing in third-party contractors, and accelerating haulage cycles. On February 23, 2019, at 8:20 in the morning, that operational compromise ended in catastrophe.

IV. The Catastrophe: The 2019 "2·23" Safety Disaster & Insolvency Abyss

Official investigation findings read like a comprehensive manual of operational failures.

The direct trigger was the transport vehicle. The outsourced contractor—the West Ujimqin branch of a Wenzhou-based construction group's mining engineering unit—was using an illegally modified truck to transport workers underground. Severely overloaded and fitted with dry brakes explicitly prohibited in subterranean metal mining, the vehicle lacked mandatory safety certification for underground operations. As it descended the auxiliary ramp, the braking system failed and the truck careened out of control.5

The underlying cause, regulators concluded, was governance. The regional investigation revealed that Yinman's general manager and legal representative was absent from the site when the disaster occurred. Management exercised no effective oversight over the contractor, opting for 以包代管 (yǐ bāo dài guǎn)—subcontracting without supervision, effectively substituting a commercial contract for operational safety and offloading regulatory responsibility onto a third party.29 The State Council's Safety Production Committee circulated the case nationally, while the national coal mine safety administration instructed the broader mining industry to draw urgent lessons from the tragedy.5

The operational fallout extended far beyond the accident site. Following the investigation report published by the Inner Mongolia Emergency Management Department on October 23, 2019, sixty-three individuals were held accountable—including corporate executives, contractor personnel, and local officials—with eighteen facing criminal prosecution.30 Yinman had halted operations on February 24, 2019, after regulators impounded its safety licence,4 and mandatory safety suspensions quickly expanded to encompass every sister mining subsidiary in the region.

One detail from the investigation illustrates the financial compromise behind the failure. The vehicle involved in the fatal crash had been purchased second-hand by the local contractor chief on November 25, 2017, for ¥59,000—roughly the cost of a modest family car—and operated as a worker commuter bus on the underground ramp for over a year.42 In modern underground mining, personnel transport requires certified, regularly inspected, and rigorously maintained equipment. At Yinman, it had been reduced to a cost-cutting line item within an outsourced contract at a mine under intense pressure to satisfy corporate profit guarantees.

The judicial process spanned nearly two years. In November 2020, Inner Mongolian courts convicted twenty-two individuals in total: eighteen personnel from the accident units, two on charges of illegal business operation, and two public officials on duty-related criminal charges.33 The severity of the rulings sent a clear message across China's mining sector that delegating operations to contractors would not shield owners from criminal liability.

The financial mechanism. Beyond the operational tragedy, the disaster severely undermined the group's balance sheet.

Prior to the shutdown, contemporary media estimates indicated that Yinman generated over 70% of the listed company's net profit.25 In 2019, full-year revenue dropped 64.18% year on year to ¥873.66 million.22 Although the listed entity reported a positive net profit attributable to shareholders of ¥102.22 million for the year, that black ink was entirely artificial, sustained by ¥292 million in one-off investment gains from disposing of equity stakes in 天通矿业 Tiantong Mining, 富生矿业 Fusheng Mining, and 巨源矿业 Juyuan Mining.22 Stripping out those asset sales revealed an operating business deep in the red. By 2020, with its primary asset still idle, the company reported a net loss attributable to shareholders of ¥184 million.

This collapse provided a textbook demonstration of concentration risk. On paper, the parent company held a diversified portfolio spanning nine mining subsidiaries across multiple metals and regions. In practice, when its single primary engine stopped, group revenue shrank by nearly two-thirds, and survival in year one required liquidating subsidiaries. Portfolio breadth offers little true diversification when earnings depend on a single underground complex—a structural vulnerability that resurfaced when operations were halted again in July 2026.

Contagion to the parent. In August 2019, parent company 兴业集团 Xingye Group was forced into court-supervised bankruptcy restructuring after failing to service its debts.23 In an ironic twist, the restructuring petition was filed by 赤峰宇邦矿业 Chifeng Yubang Mining—the owner of the Shuangjianzi silver deposit that the listed company would acquire five years later.

The judiciary subsequently consolidated the cases. On July 23, 2020, the 赤峰市中级人民法院 Chifeng Intermediate People's Court ordered substantive consolidated restructuring for Xingye Group alongside affiliates 玉龙国宾馆 Yulong State Guest House and 布敦银根 Budun Yingen. The court approved the final restructuring plan in August 2022, terminating the proceedings.24 Although the listed subsidiary was not included in the bankruptcy filings, its controlling shareholder's insolvency put its pledged equity at risk of liquidation. By mid-2021, unresolved legal disputes had led to the listed company itself being placed on China's official list of dishonest judgment debtors.34

Restarting. Regulatory skepticism delayed the mine's reopening, which proceeded in fitful stages. On July 20, 2020, the local administrative office issued a letter approving Yinman's lawful resumption in principle.39 On July 27, 2020, Yinman recovered its production safety licence, and the company announced the restart of operations the following day.426 However, on February 3, 2021, following an urgent self-inspection notice from the West Ujimqin emergency management bureau, Yinman voluntarily suspended operations once more. Processing plant activities resumed on May 2, 2021, but underground mining remained halted until August 21, 2021.4 Full production was restored only in 2022, marking its first complete operational year since 2018.4

During the extended shutdown, technical teams quietly addressed long-standing metallurgical inefficiencies. The tailings accumulated over years of poor tin extraction represented a substantial body of stranded metal. The company later sought environmental approval for a dedicated tailings tin-recovery project at the Yinman concentrator, which appeared in Xilingol League environmental impact assessment disclosures in late 2024.40 Reprocessing historical waste offered a low-cost secondary stream of metal, while highlighting how much value had been lost under previous processing setups.

What the record shows. Across three years of public disclosures, management repeatedly missed its own operational restart timelines. Going-concern risks mounted, profit commitments remained unfulfilled, and parent-level insolvency threatened corporate control. Evaluating management's track record requires examining this period closely—not merely because an industrial accident occurred, but because the underlying failure mode stemmed from governance: delegating safety responsibilities to an unmonitored contractor while capturing the profits.

The eventual financial rescue arrived from an unexpected quarter.

V. The Phoenix Strategy: Restructuring, Technical Overhaul, & Rebranding

China's distressed debt ecosystem centers on a handful of specialized state institutions, with China Cinda Asset Management among the largest. Created in 1999 as one of four national asset management companies designed to absorb non-performing loans from state banks, Cinda has since evolved into a comprehensive distressed investment manager.

The Cinda structure. By July 2024, Cinda finalized a rescue framework for the parent company, delivered through a trust structure alongside a direct 6.87% equity stake in the listed entity.938 Total financial support reached up to ¥3.655 billion.9 Crucially, Cinda did not take operational control.

The mechanics of the court-approved restructuring plan explain a shareholding structure that appears unconventional on paper. Priority claims—including employee obligations, taxes, and secured debt—were paid first, while ordinary creditors received a combination of cash, debt-for-equity swaps, and trust beneficiary units. Founder Ji Xingye and his family members—Ji Xingjun, Ji Xingmin, Li Jianying, and Ji Xinghui—transferred 100% of their equity in parent company Inner Mongolia Xingye Group into two new holding vehicles, Hengshuo Mining and Jinwei Mining. Those vehicles then placed the group's equity into a trust plan managed by Yunnan International Trust, which distributed beneficiary units to creditors.4

Under this arrangement, Yunnan International Trust sits on the share register as nominal owner of the parent company. However, the trust deed separates property rights from governance: legal ownership belongs to the trust, while voting rights and operational management remain with Ji Xingye. Once creditors are repaid principal and interest in full, residual trust property—the group equity—reverts to the Ji family.4 In June 2024, the parent group reorganized from a joint-stock entity into a limited liability company, renamed Inner Mongolia Xingye Gold Smelting Group Co., Ltd.4

Consequently, the founder navigated the bankruptcy of his holding company while retaining control. As of the first quarter of 2025, Xingye Group held 27.44% of the listed subsidiary, while Ji's personal economic interest stood at 20.46% as of mid-2025, with those shares pledged as collateral.49 This capital structure offers both continuity and risk. While retaining founder management preserved local operational expertise and avoided a forced liquidation of mining assets, the arrangement leaves residual ownership tied to an encumbered trust whose creditors have not yet been fully repaid. Investors evaluating governance must weigh aligned founder control against the weight of pledged shares and unresolved debt obligations.

The metallurgical breakthrough. Parallel to the financial restructuring, management executed a crucial technical recovery at the mine site.

Yinman's ore body presents complex metallurgical challenges because its tin occurs primarily as cassiterite, a heavy oxide mineral. Traditional mineral processing relies on gravity separation, crushing the ore so that dense cassiterite settles out from lighter host rock. While gravity separation works efficiently on coarse particles, it struggles with fine material created when tin is tightly intergrown with sulphide minerals and requires deep grinding to liberate. Prior to 2023, fine cassiterite escaped into slimes and washed into tailings ponds, limiting Yinman's tin recovery rate to roughly 50%—meaning half of the mined tin was lost.4

This inefficiency posed an urgent problem as mining moved deeper. Above the 800-metre elevation, the ore was low-tin and high-sulphur, carrying a tin feed grade of 0.6% to 0.7%. Between the 800-metre and 690-metre levels, geology shifted to tin-rich, low-sulphur ore with feed grades doubling to 1.2%–1.4%.4 Processing richer ore through the legacy circuit would have resulted in losing an even larger volume of high-value metal.

Beginning in 2021, the company funded deep drilling and mineralogical studies on the Zone III orebody below 800 metres, partnering with the Beijing General Research Institute of Mining and Metallurgy, China University of Mining and Technology (Beijing), and the Guangzhou Research Institute of Non-ferrous Metals. Phase analysis of tin, silver, copper, lead, and zinc led to an integrated metallurgical flowsheet combining sensor-based sorting, enhanced classification, preferential sulphur flotation, staged gravity separation, desliming, and a combined fine-particle flotation circuit.4

In practice, sensor-based sorters reject barren waste rock before milling; classification circuits route specific particle sizes to tailored processing streams; and flotation cells remove interfering sulphides first. Crucially, specialized flotation columns catch fine cassiterite particles that gravity separation misses. To install the ore-sorting equipment and cassiterite flotation retrofit, the plant halted operations from June 9 to July 10, 2023.4

The technical overhaul raised overall tin recovery from approximately 50% to roughly 70%.4

A 20-percentage-point gain in metallurgical recovery fundamentally reshaped mine economics. Because underground extraction, haulage, crushing, and grinding costs are fixed relative to total ore throughput rather than recovered metal, lifting recovery from 50% to 70% yielded roughly 40% more saleable tin from the same operational cost base. Coupled with double the feed grade at depth, this incremental tin output arrived at near-zero incremental production cost. The recovery breakthrough stands out as a clear example of operational engineering driving corporate value.

The rebrand. In 2023, the listed entity changed its name from Inner Mongolia Xingye Mining to Inner Mongolia Xingye Silver & Tin Mining Co., Ltd., aligning its public branding with its primary revenue drivers.4 By 2024, mined tin and mined silver accounted for 35.9% and 26.9% of revenue, and 43.9% and 26.6% of gross profit respectively, while zinc declined to 19.2% of revenue.4 Iron ore—the mainstay of the 2011 backdoor listing—had become a minor contributor.

Financial performance reflected these operational gains. Net profit attributable to shareholders rose from ¥246 million in 2021 and ¥174 million in 2022 to ¥951 million in 2023 and ¥1.530 billion in 2024, supported by revenues of ¥3.706 billion and ¥4.270 billion.84 Gross margin reached 62.95% in 2024, up nearly 11 percentage points year on year, while the debt-to-asset ratio dropped to 34.39%.4

By the end of 2024, the business had achieved operational stability and financial turnaround. Management then set its sights on aggressive expansion.


VI. Assets, Economics & Segment Breakdown

To understand the business today, start with a dynamic feature of its economics: its largest revenue driver frequently shifts by design rather than by chance.

In 2024, tin generated the largest share of sales. By the first quarter of 2026, mined silver had taken over as the primary profit driver, generating over 60% of quarterly revenue on its own as a newly consolidated asset ramped up.1 Across the first half of 2026, silver and tin jointly accounted for the bulk of revenue, with zinc, lead, copper, and other by-products supplying the balance.32 This revenue composition moves dynamically because the company operates a portfolio of polymetallic orebodies whose relative contributions shift with grade, throughput, and metal prices—amplified by the acquisition of a major silver mine.

Scale and operational trade-offs. As of end-2025, the company reported silver resources of 33,600 tonnes—ranking first in Asia and seventh globally—and tin resources of 444,600 tonnes, placing second in China. In 2025, it produced 301 tonnes of mined silver, leading Chinese producers with an 8.9% domestic market share, alongside 6,700 tonnes of mined tin, representing a 9.4% domestic share.8

However, the tin production volume represents a notable drop from 2024, when the company produced 8,902 tonnes.36 This 25% annual decline illustrates a key operational trade-off: underground expansion can disrupt existing extraction. Yinman's Phase II underground development, initiated in the third quarter of 2023, physically interfered with Phase I operations. By end-2024, crews had completed only about half of the Phase II shaft and tunnel development, preventing Yinman from operating at full design capacity and driving a sequential decline in earnings during the third and fourth quarters of 2024.4 Growth capital expenditure at an active underground mine creates immediate production drag before delivering new volume.

Yinman: The primary cash engine. Yinman operates under a licensed annual capacity of 1.65 million tonnes of ore. In 2024, it generated revenue of ¥2.558 billion and net profit of ¥1.259 billion on total assets of ¥4.605 billion.4 In 2025, revenue reached ¥3.062 billion—representing 55.12% of consolidated sales—while net profit rose to ¥1.346 billion, which press analysis put at close to 80% of group net profit.7

At full Phase I capacity, management's own arithmetic implies roughly 160 tonnes of silver and around 12,000 tonnes of tin a year.4 On January 10, 2025, the Inner Mongolia development and reform commission approved the Phase II expansion, raising licensed scale from 1.65 to 2.97 million tonnes a year.4 Because Phase II uses the same mining and processing flowsheet, management informed investors that silver and tin output could roughly double once the expansion reaches full production.17 Underground construction on the expansion began on July 19, 2026.7

Yinman's structural advantage lies in its cost position. The deposit yields tin concentrate, silver, and lead, zinc, copper, and antimony by-products from the same tonne of rock. In by-product accounting, revenue from secondary metals is subtracted from gross operating costs before dividing by primary metal output. When a single orebody carries five or six saleable metals, by-product credits can approach or exceed full mining costs, causing the cash cost of the primary metal to collapse toward zero or below. Combined with roughly doubled feed grades below 800 metres, these credits enabled consolidated gross margins of 62.95% in 2024 and 68.75% in the first half of 2026.41

Yubang: Premium valuation and execution risk. On December 20, 2024, the company signed agreements to acquire 85% of 赤峰宇邦矿业 Chifeng Yubang Mining for ¥2.388 billion—paying ¥1.60 billion for the 65% held by 国城矿业 Guocheng Mining, and ¥788 million for the 20% held by 李振水 Li Zhenshui and his son 李汭洋 Li Ruiyang. Completion and consolidation followed on January 14, 2025.104

Yubang owns the mining right to the 双尖子山 Shuangjianzi silver-lead deposit in 巴林左旗 Balin Left Banner, plus three exploration licences. By the World Silver Survey's count, Shuangjianzi is the largest single silver mine in Asia, with resources of roughly 17,900 tonnes of silver at an average grade of about 115 grams per tonne, 838,700 tonnes of lead at 0.54%, and 1.86 million tonnes of zinc at 1.19%.4 The acquisition lifted the group's silver reserves by 181% in a single year, reaching 27,237 tonnes at end-2024—representing roughly 39% of China's total silver reserves.4

However, Yubang was historically unprofitable. Net profit stood at minus ¥81.8 million in 2022 and minus ¥94.3 million in 2023, before turning to plus ¥28.4 million for the first ten months of 2024. Estimated silver output was 20.4 tonnes in 2022, 20.8 tonnes in 2023, and 65.2 tonnes through October 2024—well below its existing annual capacity potential of 80 to 100 tonnes.4 The company paid ¥2.388 billion, representing a premium of more than thirty times book value, justifying the valuation on grounds that the acquisition would consolidate its position as China's silver leader and generate synergies.10

The transaction also constituted a related-party transaction under Shenzhen listing rules because an independent director of Xingye, 李伍波 Li Wubo, had concurrently served as a director of the seller, Guocheng Mining, within the preceding twelve months—resigning from Guocheng on December 17, 2024, three days before agreements were signed.11 While fully disclosed and compliant with listing rules, the relationship is a notable detail in evaluating governance.

Justifying this purchase price depends entirely on a major expansion. Management plans to lift Yubang's production scale from 600,000 tonnes of silver-lead ore a year to 8.25 million tonnes, building a new 20,000-tonne-per-day concentrator alongside the existing 5,000-tonne-per-day plant through a staged path including a 660,000-tonne first phase and a 3.3-million-tonne second phase.4 Total investment is reported at ¥2.898 billion over a three-year construction period, targeting commissioning in 2027 and annual full-capacity output of approximately 450 tonnes of silver valued at about ¥3 billion.15

This expansion requires a nearly fourteen-fold increase in throughput. Against global silver peers like Fresnillo and Pan American Silver, or domestic comparator 盛达资源 Shengda Resources, paying a high valuation multiple for an underperforming asset requires flawless execution on permitting and construction. As of August 2025, the project was still applying for safety construction permits from emergency management authorities and could not break ground until approval arrived.15 By August 2025, both Yinman's Phase II and Yubang's expansion were described as working through pre-construction approval formalities.[^34] Yubang's long-term competitive position therefore depends on whether permits are granted and construction proceeds on schedule and within budget.

Secondary assets. 乾金达矿业 Qianjinda (lead, zinc, silver) and 融冠矿业 Rongguan (iron, zinc) generated net profits of ¥245 million and ¥173 million respectively in 2024, standing as the company's second and third largest profit contributors.4 Smaller subsidiaries—锡林矿业 Xilin Mining, 锐能矿业 Ruineng Mining, and 荣邦矿业 Rongbang Mining—each contributed under ¥50 million. 唐河时代 Tanghe Shidai and Tibet-based 博盛矿业 Bosheng Mining recorded net losses; Bosheng lost ¥85 million in 2024, largely because a July 23, 2024 fatal accident forced a regulatory suspension that lasted until April 24, 2025.4

Competitive positioning and commodity risk. Compared to 锡业股份 Yunnan Tin (000960.SZ), the world's largest tin producer by volume, the company operates at a much smaller revenue scale. However, its profit structure differs fundamentally. Yunnan Tin is dominated by smelting operations, which process third-party concentrates at thin conversion margins. Xingye sells mined concentrate, capturing upstream mining margins without smelting overhead. On 2024 figures, it posted a 62.95% gross margin, a 35.17% net margin, and a return on equity of 21.28%, outperforming peers including Yunnan Tin, 华锡有色 Huaxi Nonferrous, and Shengda Resources.4 While pure mining provides high margins in rising markets, it offers no downstream processing buffer when metal prices decline.

That commodity exposure is further unhedged. As of early 2025, management confirmed it had conducted no silver hedging for the year.36 Unhedged output proved highly profitable during the silver market rally, but leaves corporate earnings directly exposed to potential price pullbacks.

Having consolidated its domestic silver and tin franchise, management turned outward—setting up the next phase of corporate expansion.

VII. Global Optionality & Modern Strategy

The strategy has a slogan, and management repeats it: 根植内蒙,专注资源主业;面向全球,布局产业延伸 — "rooted in Inner Mongolia, focused on the resource core; facing the world, extending the industry chain."4

Indonesia and Australia. The first step outward came on September 4, 2024, when wholly owned subsidiary 兴业黄金(香港) Xingye Gold (Hong Kong) agreed to subscribe for a 19.99% stake in Far East Gold Limited, an ASX-listed explorer, at A$0.20 per share across three tranches.4 The transaction totaled roughly A$14.25 million, or about ¥66.57 million. Far East Gold holds three copper-gold exploration projects on Indonesia's Sunda magmatic arc and three in Queensland's Drummond Basin and Connors Arc—all early-stage exploration targets.

Sized honestly, this investment is a low-cost option. Committing ¥67 million against a company that generated over ¥1.5 billion in net profit in 2024 is not a strategic pivot; it is an option premium on copper-gold discovery in jurisdictions where the company has no operating history. Until drilling proves commercial viability, its economic value remains speculative.

Morocco. The second step was materially larger. On April 30, 2025, the company signed an offer implementation agreement to acquire, via Xingye Gold, all issued shares of Atlantic Tin Limited—an unlisted Australian public company incorporated in 2005—at A$0.24 per share, for a total consideration of approximately A$98 million (about ¥454 million).124 Atlantic Tin's primary asset is the development-stage 阿什马什 Achmmach tin project in north-central Morocco, located roughly 40 kilometres southwest of Meknes.

The deposit carries substantial scale. A 2024 resource estimate put Achmmach at 39.1 million tonnes of ore averaging 0.55% tin, containing 213,300 tonnes of metal—a 33% increase over 2021 estimates. Under Chinese national mineral resource standards, any tin deposit exceeding 40,000 tonnes of contained metal qualifies as a large-scale mine, making Achmmach equivalent to five large domestic deposits.4 The mining licence runs through January 17, 2032, covering 11.9 square kilometres, and an April 2026 feasibility study outlined an underground operation with an annual processing capacity of 1.2 million tonnes of ore.13 Broking house Guosen Securities estimated at the time of the offer that first production could arrive in the fourth quarter of 2027, outputting roughly 6,000 tonnes of tin per year.4

Atlantic Tin held a 75% stake in project vehicle 大西洋锡业 Atlas Tin SAS, with the remaining 25% split between two Japanese trading houses, 豊田通商 Toyota Tsusho and 日铁矿业 Nippon Steel Mining. On June 30, 2026, Xingye announced share purchase agreements to acquire that residual 25% interest for US$23.11 million, consolidating full project ownership, terminating the original shareholders' agreement, and streamlining governance.1314

Buying out minority partners to consolidate a development asset removes potential veto rights and consent hurdles for a project requiring rapid execution. The more critical variable, however, remains the project timeline. When asked about Achmmach on the company's investor interaction platform on December 16, 2025, management stated that the project was undergoing construction plan optimization work, and that mine buildout would commence once design work concluded—offering no specific completion date.16 Seven months later, the company had acquired full ownership and finalized a new feasibility study, but physical construction had yet to break ground.

This trajectory highlights how the Moroccan asset should be evaluated: as a long-term call option rather than an immediate earnings contributor. At roughly ¥454 million for the initial equity acquisition plus the minority buyout, the total committed capital represents a manageable fraction of the group's asset base, and the strategic logic of geographic and regulatory diversification away from Inner Mongolia is sound. However, converting an overseas resource into saleable concentrate in North Africa—where the company lacks operating history, supply chains, and established contracting networks—presents a multi-year execution challenge. Historically, the company's track record in bringing development milestones online has been mixed, demonstrated by the two-and-a-half-year effort required to restart Yinman, an asset it already owned and had previously permitted.

Weiling. A third transaction occurred on November 28, 2025, when Tibet-based subsidiary 西藏山南锑金资源有限公司 signed an agreement to acquire 20,233,784 shares—a 7.76% stake—in 威领股份 Weiling Co., Ltd. for ¥307.76 million, at ¥15.21 per share.20 The deal established Xingye as Weiling's largest shareholder with rights to nominate all five board seats, securing effective operational control. Weiling's asset portfolio encompasses tungsten, tin, lead, and zinc polymetallic mining alongside lithium beneficiation and processing, with its Hunan subsidiary 江玉矿业 Jiangyu Mining holding licensed mining rights for up to 300,000 tonnes per year.20

Securing board control of a listed peer with a 7.76% equity stake is capital-efficient. Yet from a corporate governance perspective, acquiring control through a minimal equity footprint adds structural complexity to a corporate group that spent five years assuring investors of its commitment to simplification and balance-sheet discipline. Furthermore, lithium chemical processing lies well outside the company's core operational competency in hard-rock silver and tin mining.

A note on Laos. Various secondary market accounts have attributed a Laotian tin acquisition to the group. However, regulatory filings with the Shenzhen Stock Exchange and Chinese financial press coverage through August 2026 confirm disclosed overseas transactions in Morocco, Indonesia, and Australia, but contain no record of an asset purchase in Laos. On disclosed evidence, any Laotian exposure remains unconfirmed.

How to size all of it together. Taken together, the group's international and adjacent-market commitments—roughly ¥67 million for exploration stakes in Indonesia and Australia, approximately ¥454 million plus US$23.11 million for full project control in Morocco, and ¥308 million for board control of Weiling—represent less than ¥1 billion in total committed capital. Set against consolidated net profit exceeding ¥1.7 billion in 2025 alone, the capital outlay is conservative.8 Management has avoided over-leveraging the balance sheet for overseas growth. The central risk is not capital solvency, but managerial bandwidth. Supervising development-stage projects across three continents while simultaneously pursuing two multi-billion-renminbi domestic mine expansions, navigating regulatory suspensions at flagship operations, and preparing a Hong Kong listing places severe demands on executive focus. Historically, operational oversights and project delays—rather than broad commodity price fluctuations—have proven to be the company's most costly risk factor.

The demand backdrop. The structural thesis supporting silver and tin prices differs significantly from previous commodity cycles. Industrial silver consumption is increasingly driven by photovoltaics—where silver paste forms essential conductive grids on solar cells—and advanced electronics. Tin demand relies heavily on microelectronics solder, benefiting from higher interconnect density in artificial intelligence hardware and advanced semiconductor packaging. Neither metal faces immediate cost-effective substitution at current technical specifications. While these demand drivers provide genuine tailwinds, they benefit all global producers equally and do not constitute a proprietary competitive moat.

Jurisdiction. Deploying Chinese capital into North African and Southeast Asian mining assets introduces specific jurisdictional challenges, including local content requirements, unfamiliar environmental compliance standards, infrastructure bottlenecks, currency transfer restrictions, and geopolitical sensitivities surrounding resource ownership. Management has limited operational experience navigating these external frameworks. Consequently, these international projects are best modeled as low-weighted options until commercial concentrate shipments begin.

Which brings the story to the people making these decisions, and to the single hardest question in the file.

VIII. Governance, Management Credibility & Historical Falsification

吉兴业 Ji Xingye was 67 when he sat for a January 2026 interview describing thirty-four years in the business, from a steel shot factory to what Chinese media had begun calling the "silver king of Chifeng."9 His son 吉祥 Ji Xiang serves as vice chairman. 张树成 Zhang Shucheng is general manager, a director, and chairs the ESG committee. 孙凯 Sun Kai and 张国新 Zhang Guoxin are directors and deputy general managers.

It is a family-anchored board at a founder-controlled private miner, with 兴业集团 holding 27.44% as of the first quarter of 2025 behind the trust structure described earlier, and further blocks held by 国民信托 (5.67%), 赤峰富龙公用 (3.46%) — the shell's original owner, still on the register — 申万宏源证券 (2.58%) and Hong Kong Securities Clearing (1.44%).4

The capital allocation record. The arc management presents is real and can be verified. Leverage came down: the debt-to-asset ratio fell from a 2020 peak of 44.6% to 34.39% at end-2024, on a falling trend.4 The company resumed dividends in 2022 after production normalised, paying out 17.96% of earnings in 2022, 12.32% in 2023 and 8.12% in 2024 — ¥124 million in 2024, at ¥0.70 per ten shares, for a dividend yield of 0.63%.4

Note what that trend actually says. As earnings grew, the payout ratio fell every year. This is a company retaining capital to fund Phase II, Yubang, Morocco and Weiling, which is a legitimate choice for a miner with genuine growth projects. But it is not the profile of a company returning capital to shareholders, and describing the post-2020 period as one of financial discipline requires acknowledging that the balance-sheet repair happened alongside roughly ¥3.2 billion of acquisitions between December 2024 and June 2026 alone.

Two transactions deserve specific scrutiny. The first is the Yubang purchase already described — a thirty-fold premium to book for a loss-making mine, classified as a related-party transaction on account of a director overlap resolved three days before signing.11 The second runs the other way: in early 2026 the company sold 60% of subsidiary 双源有色 Shuangyuan Nonferrous — 30% each to 郴州湘翔物流 and 海南竹苑实业 — for ¥208 million, valuing the whole company at ¥346 million against a net asset book value of ¥27.54 million, an appraised uplift of ¥319 million or 1,156.83%.19 Shuangyuan had lost ¥9.74 million in 2025 and had at one point carried ¥908 million of liabilities against ¥42.55 million of assets before its debts were restructured. The disposal generated ¥454 million of non-recurring gains in the first half of 2026, of which ¥321 million was investment income and ¥133 million an income tax offset.3

An activist would put that in the file immediately. Roughly a fifth of the reported first-half 2026 profit came not from mining silver and tin but from selling a restructured, previously insolvent smelting subsidiary at eleven times book to two buyers whose relationship to the group is not obvious from the disclosure. The core mining business is genuinely, spectacularly profitable — but reported earnings in the period were flattered by a one-off, and the underlying figure excluding non-recurring items was guided at ¥1.69–1.92 billion versus the headline ¥2.14–2.37 billion range.2

The disclosure record. On June 9, 2022, the Shenzhen Stock Exchange issued a letter of concern to the company after investor complaints. The trigger: at a June 2021 investor relations event, the company had said Yinman's mine life had the potential to exceed 100 years on the basis of exploration results — and then, in May 2022, stated that exploration work had produced no phased results to date. The exchange demanded the company explain its confirmed reserves, current capacity, the basis for the hundred-year claim and the methodology behind it, questioning whether the estimate had sufficient support.18

That is not a technical filing error. It is a regulator asking, in writing, whether the company had told investors something about its most important asset that it could not substantiate. Set alongside the unmet Yinman performance commitments from the 2016 acquisition, a pattern emerges that should inform how any current forward-looking number — 450 tonnes of silver at Yubang, doubled output at Yinman, first tin from Morocco in late 2027 — is weighted.

Related-party overhang. 布敦银根 Budunyingen is a mine controlled by 兴业集团, in which the group holds 54.31%. It obtained its mining licence in September 2024 for underground silver mining at a designed scale of 675,000 tonnes a year over 5.21 square kilometres, valid to September 2032, and it is large: 11,200 tonnes of contained silver at an average grade of 148.12 g/t, plus zinc and lead by-products.4 Because it competes in the same business as the listed company, it creates a 同业竞争 horizontal competition problem. The stated resolution is that the listed company manages Budunyingen for a fee of ¥100,000 a year, and the group will begin the injection process one year after the mine reaches production and stable profitability.4

A ¥100,000 annual management fee for operating an 11,200-tonne silver mine is not an arm's-length price for anything. The arrangement may well end in a value-accretive injection. It may equally end in the listed company paying a full price for an asset it de-risked for free. Minority shareholders have no contractual protection either way, and the resolution date is entirely at the parent's discretion.

The falsification test that matters most. Now to the central claim, and the one this company most wants investors to believe: that the post-2019 safety governance overhaul eliminated operational tail risk.

Test it against the company's own record, over the longest span that bears on the claim. Yinman has had four fatal accidents in the last decade: a roof collapse killing one in 2016; the transport disaster killing 22 and injuring 28 in 2019; a mechanical failure killing one on March 9, 2025, after which the mining area was suspended and resumed on April 16, 2025 with roughly a month of lost production; and the fatality on July 26, 2026.6428 Elsewhere in the group, Bosheng Mining in Tibet suffered a fatal accident on July 23, 2024 and was shut for nine months.4

The 2026 event is the most damaging to the claim, because it came after everything. It came after the corporate restructuring, after the technical overhaul, after the rebrand, after a full change in the group's financial position, and only sixteen months after the previous fatality at the same mine had triggered pledges to upgrade safety management systems.6 The regulatory response was also harsher than the 2025 precedent: a decision notice from the West Ujimqin emergency bureau shut the mining area on July 26, and a second notice on July 30 extended the shutdown to the processing and tailings systems, meaning the entire Yinman complex stopped.27 The company disclosed that it could not determine the duration of the suspension or reliably estimate the effect on 2026 results, while stating that the surface ore stockpile of roughly 350,000 tonnes could feed the mill for about two and a half months.7

So what does the history do to the claim? It rejects the strong version outright. There is no reading of four fatalities in ten years at one mine, two of them in the last eighteen months, that supports "tail risk eliminated." The defensible, narrower claim that survives is this: the scale of the tail has been reduced — the 2025 and 2026 events each killed one person rather than twenty-two, and the 2025 suspension lasted roughly five weeks rather than two and a half years — but the frequency of regulatory production halts at the group's dominant cash-flow asset has not been reduced at all, and may have increased. Underground mining in complex, deep, multi-level orebodies is inherently hazardous, and Yinman is a hard mine. But the base rate matters: this is a company whose central asset has been stopped by regulators, on safety grounds, in 2019, 2021, 2025 and 2026.

The forward test is straightforward, and an investor can track it without needing management's cooperation: consecutive months of fatality-free operation at Yinman and Yubang, the elapsed time between the July 2026 shutdown and full resumption of the mining and tailings systems, and whether the eventual investigation finding again identifies contractor management as the root cause. If the investigation points a second time at 以包代管, the 2019 remediation did not take.

Management's live version. Compare the prepared narrative with the answers under questioning. On the concrete, technical matters, management has been specific and verifiable: the tin recovery mathematics, the flowsheet redesign, the feed grade transition below 800 metres, the ore stockpile duration. On regulatory timing, the answers become notably thinner. The Yubang expansion was "applying for construction permits" in August 2025; both Yinman Phase II and Yubang were still "processing pre-construction approval formalities" in August 2025; Morocco was in "construction plan optimisation" in December 2025 with no completion date.15[^34]16 After the July 2026 accident the company said the incident would not have a major impact on operations pending the investigation's conclusions — a statement made while simultaneously disclosing that it could not estimate the impact.7

There is also a live capital-markets consequence. The Hong Kong listing application filed on May 25, 2026 with CICC as sole sponsor lapsed on July 17, 2026 and required updated documentation, with the company planning to refile.87 Refiling into a period when the asset generating over half of revenue is under an open-ended regulatory suspension is a materially harder conversation with institutional investors than the one management expected to have in May.35

That tension — a world-class resource position wrapped in an operating record that keeps interrupting it — is the whole investment question.


IX. Playbook: 7 Powers, Porter's 5 Forces, & Bull vs. Bear Case

Strip away the narrative and ask the war-game question: if a competitor wanted to take this business apart, where would they attack? The honest answer is that they mostly could not — and that the primary threat comes from somewhere else entirely.

Hamilton Helmer's 7 Powers.

Cornered Resource — strong, and the only power here that is unambiguous. Mining represents the purest form of this power in the framework, because a mineral deposit is by definition non-replicable. Shuangjianzi stands as the largest single silver mine in Asia; Yinman is among the very few Chinese deposits where tin and silver are jointly primary, at grades that support the company's low-cost structure. No competitor can construct a substitute deposit in eastern Inner Mongolia, because the host rock is absent elsewhere. Combined resources of 33,600 tonnes of silver and 444,600 tonnes of tin rank the company first and second respectively among listed Chinese peers.8 This advantage is real, durable, and measurable. It is also the only power that clearly holds.

Process Power — moderate, and better evidenced than most claims in this category. The cassiterite flotation and intelligent sorting circuit developed with three research institutes lifted tin recovery by roughly twenty percentage points at a mine whose ore is genuinely refractory.4 Process power in Helmer's framework requires that an operational improvement be embedded, hard to replicate quickly, and the product of accumulated organizational learning. A bespoke flowsheet tailored to a specific and unusual mineralogy, developed over two years of deep drilling and metallurgical study, plausibly qualifies. The caveat is that technical flowsheets travel. Research institutes work across the industry, and the specific engineering solution is now documented. What remains impossible to copy is the host orebody it was designed to treat, returning the analytical argument to cornered resource.

Scale Economies — moderate and prospective, not present. The structural case is that unit fixed costs will fall as Yubang expands from 600,000 to 8.25 million tonnes of annual ore throughput and Yinman grows from 1.65 to 2.97 million tonnes. Directionally, that is correct, as fixed-cost dilution from higher throughput is a well-established dynamic in mining. But neither expansion has reached completion. As of recent disclosures, both projects were awaiting or working through construction approvals, while Yinman's underground development has already disrupted existing operations and reduced output.[^34]4 Scale economy remains an expected power rather than an operational reality.

The powers that are absent. There is no branding power — metal concentrate is an unbranded commodity. Network economies do not exist. Switching costs are absent, as a smelter can purchase identical specification concentrate elsewhere. Counter-positioning is non-existent, as the business model is conventional. Recognizing what is missing is essential, because it demonstrates that the entire competitive case rests on geology plus, prospectively, scale.

Porter's Five Forces.

Supplier power — low to moderate. Owning the ore reserves eliminates the largest raw material input cost from supplier negotiations. However, the framework is often applied too narrowly here. The critical operational suppliers to an underground mine are labor contractors, equipment vendors, and engineering firms — and the 2019 investigation established that subcontracting management was the company's single most destructive dependency.29 Supplier bargaining power over inputs is low; supplier operational risk is exceptionally high.

Buyer power — low. Mined concentrate is sold to smelters on spot-indexed benchmark terms referenced to LME and Shanghai Futures Exchange SHFE prices. No single buyer possesses structural leverage over a producer selling scarce, standardized metal concentrates.

Threat of substitutes — low. Silver's electrical conductivity in photovoltaic pastes and tin's role in electronic solder have no commercial-scale economic substitute at current technical specifications. A second-order risk persists as solar manufacturers have actively engineered silver thrifting — reducing grams per cell — for a decade, representing substitution at the margin even where the base metal is irreplaceable.

Competitive rivalry — moderate. Metal prices are established on public exchanges, so rivalry does not take the form of price competition in product markets. Instead, it takes the form of competition for mineral assets, where the company has demonstrated a willingness to pay premium valuations, expressing rivalry through M&A rather than commercial selling.

Threat of new entrants — very low. Strict Chinese mining rights approvals, environmental permitting requirements, and natural resource depletion make greenfield entry into the Great Khingan belt effectively closed. However, those same regulatory barriers apply to the incumbent's own expansions — which is precisely why Yubang's construction permit remains a pivotal variable.

The bull case, tested.

The strongest bull argument positions the company as a pure-play, unhedged, low-cost producer of two metals benefiting from genuine structural demand growth, holding the largest silver resource in Asia, operating at gross margins near 69%, and backed by a balance sheet repaired from crisis levels.14 The first-half 2026 result — net profit attributable to shareholders up 184% year on year — illustrates the operational leverage: when metal prices rise against a largely fixed cost base at a mine whose by-products cover primary extraction expenses, incremental revenue flows directly to net profit.1

The second argument relies on volume expansion rather than price appreciation. Yubang's consolidation is already contributing to reported silver output, and the two major expansion projects, if fully built, would roughly double production of both primary metals. Growth generated by higher tonnage represents a more durable foundation than cyclical price momentum.

The third argument is that the low-cost structure is empirically verified: a 62.95% gross margin, a 35.17% net margin, and a 21.28% return on equity in 2024, outperforming industry peers operating under identical commodity price conditions.4

The bear case, tested.

The primary bear argument is operational and immediate: the flagship mine that generated 55% of 2025 revenue and close to 80% of group net profit has been completely suspended since July 26, 2026, with no disclosed restart date, roughly two and a half months of surface ore stockpiles remaining, and an official disclosure stating the company cannot estimate the impact on full-year results.727 The company experienced a similar regulatory suspension in 2019, which resulted in a 64% revenue drop and two consecutive years of operational losses. While the scale of the current safety incident is smaller, the structural concentration risk remains identical.

The second point centers on execution and permitting risk. Both primary growth drivers — the ¥2.898 billion Yubang expansion targeting 2027 commissioning and Yinman Phase II — depend on approvals from the same safety and emergency management regulators currently overseeing the shutdown at the flagship operation.15[^34] In the Chinese regulatory environment, safety enforcement and construction permitting are deeply interconnected.

The third point is unhedged commodity price risk. Maintaining unhedged exposure to silver and tin generated substantial profits during a rising market, but creates symmetrical downside exposure if prices correct.36 Industry consensus attributes a significant portion of recent earnings growth to price realization rather than volume expansion, and official company guidance explicitly highlights higher metal prices as a primary profit driver.2 An unhedged producer carrying an expanded capital expenditure program possesses no buffer against price volatility.

The fourth point involves governance and capital allocation track record. A thirty-fold-book valuation paid for a related-party-adjacent acquisition, an eleven-times-book asset disposal accounting for roughly a fifth of first-half 2026 profit, a ¥100,000 annual fee to manage a parent-owned silver deposit awaiting future injection, a regulatory letter of concern questioning an unsubstantiated hundred-year mine-life claim, unsettled performance guarantee obligations from 2016, and a controlling equity stake held within a trust whose creditors remain unpaid while founder shares are pledged.1019418219 While individual explanations exist for each item, collectively they outline a corporate structure where public investors must price in a governance discount.

The synthesis. The cornered resource is real and forms the fundamental reason the business exists. The low cost structure is empirically verified. The structural demand backdrop is genuine, though it benefits all producers equally. The metallurgical recovery overhaul represents genuine, proprietary process engineering. What remains unproven is management's ability to operate these assets without periodic regulatory shutdowns, and to bring two large underground construction projects online on schedule — unproven specifically because the company's ten-year record contains four fatal accidents at its primary mine and an unfulfilled acquisition earnings guarantee. Investing in the company is not a bet on its resource moat. The moat is the rock. It is a bet on execution and governance wrapped around that rock.

X. Epilogue & Core Investor KPIs

There is a particular kind of enterprise that a long-term investor encounters occasionally: one where asset quality is beyond argument and the operator is the entire variable. Inner Mongolia Xingye Silver & Tin is one of them.

The rocks beneath West Ujimqin and Balin Left Banner will still be there in fifty years. The silver at Shuangjianzi is not going anywhere, and no competitor can build a substitute for it. What remains genuinely uncertain is whether the enterprise extracting it can do so for four consecutive quarters without a regulator issuing a decision notice, and whether ¥2.9 billion of concentrator construction at Yubang and a capacity doubling at Yinman can be executed on schedule by an organization that has never completed a project of that scale in a single push.

It is also worth being explicit about what this story is not. It is not a technology company where a product roadmap compounds, nor a consumer brand where customer preference accumulates. Nothing here improves structurally with scale except unit costs, and nothing defends the business except a licence over a piece of ground. Compared to standard corporate growth stories, that makes it an unusually clean case study: nearly the entire enterprise value traces to two decisions—proving up Baiyinchagan and acquiring Shuangjianzi—plus one piece of process engineering, all wrapped in an operating record that has repeatedly failed to let those decisions compound uninterrupted.

Three primary key performance indicators are worth tracking, and public disclosures provide all three.

One: Yinman's uninterrupted operating record and its throughput. Not the recovery rate in isolation—that is now an engineered outcome of roughly 70%—but whether the mine operates continuously at 1.65 million tonnes per year and then through the ramp to 2.97 million tonnes. Every historical drawdown in the company's value has stemmed from Yinman halting. The crucial observation is simply whether the complex is running, and at what rate, quarter after quarter. The restart timeline following the July 2026 suspension serves as the immediate benchmark.

Two: the Yubang construction permit and commissioning milestones. The entire rationale for a thirty-fold-book acquisition price rests on the fourteen-fold throughput expansion to 8.25 million tonnes a year and the 450 tonnes of annual silver output management projects from it. The permit is the gate; the 20,000-tonne-per-day concentrator is the build; 2027 is the targeted date. Progress across those three specific checkpoints, as reported in periodic filings, represents the cleanest test of whether the price paid was justified.

Three: unit cash cost per ounce of silver and per tonne of tin, net of by-product credits. This is where the competitive moat either appears in the financial statements or fails to. It reflects grade, recovery, by-product pricing, and—critically—the rising cost of safety compliance and remediation capital expenditure, which after two shutdowns in eighteen months is no longer a rounding error. If net cash costs remain in the lowest cost quartile during heavier safety investment, the cost advantage is structural. If they drift upward, past performance was largely commodity price momentum.

Everything else—the Hong Kong listing, Morocco, Weiling, and the Indonesian exploration stake—represents optionality that carries minimal valuation weight until it yields commercial production. A resource statement is not a mine, a mining licence is not a concentrator, and a construction permit application is not a construction permit. The company's own decade provides ample reason to treat each of those gaps seriously: taking two and a half years to restart a mine it already owned, already permitted, and already operated.

It is equally important to state what would alter this assessment in the company's favor, as an unfalsifiable bear thesis is not rigorous analysis. Two full, uninterrupted operating years across Yinman and Yubang, a Yubang concentrator commissioned within the stated window, and unit cash costs holding their position through a period of elevated safety spending would convert the thesis from "extraordinary assets, unreliable operator" into a far more durable narrative. None of those milestones require higher metal prices to demonstrate. They require the organization to execute, consistently, the operational discipline it has repeatedly failed to maintain.

One final observation on framing: mining companies are frequently analyzed as though the resource statement were the business. It is not; the resource is merely the raw material. The business is the repeatable, uninterrupted conversion of host rock into saleable concentrate at a cost below market price, quarter after quarter—and operational continuity is precisely where this company's history is thin. An investor reviewing a reserve table showing Asia's largest silver endowment is viewing the numerator. The denominator is operational uptime, and the company has yet to prove it can protect it.

The transformation from a debt-saddled, safety-plagued base-metals miner into China's largest mined-silver producer is real, and the metallurgical engineering behind it is formidable. But the decade-long record, evaluated objectively, does not show a company that has resolved its fundamental vulnerability. It describes an enterprise that has grown far more valuable while carrying the exact same operational risk, rewarded by a favorable commodity cycle. Both halves of that conclusion are load-bearing.
